HSR Report definition

HSR Report means the Notification and Report Form for certain mergers and acquisitions mandated by the HSR Act and Rules.
HSR Report shall have the meaning specified in Section 7.5 of the Agreement.
HSR Report is defined in Section 8.3.1 below.

  • Each of the Corporation and such Holder shall bear and pay any costs or expenses that it incurs in complying with this Section 9(f)(B), except that each shall pay one half of any fee payable to the FTC or the Department of Justice in connection with the filing of an HSR Report pursuant to this Section 9(f)(B) and the HSR Act.

  • Each Party will cooperate with the other to the extent necessary in preparing the other Party's HSR Report and in obtaining Required HSR Approval.

  • If in the reasonable opinion of either or both Parties, filing under the HSR Act is required, then as soon as reasonably practicable after the date that both Parties have executed this Agreement, both Lilly and Generex will file with the Federal Trade Commission ("FTC") and the Antitrust Division of the United States Department of Justice ("DOJ") the notification and report form (the "HSR Report") required of each of them regarding the transactions described in this Agreement.

  • Promptly after delivery of the Put Notice each Partner shall file an HSR Report to report the proposed acquisition by the Purchasing Partner of the Percentage Interest of the Electing Partner (unless that acquisition does not require a filing under the HSR Act).

  • Servicer Report A report (substantially in the form of Schedule 5 hereto) or otherwise in form and substance acceptable to the Master Servicer and Securities Administrator on an electronic data file or tape prepared by the Servicer pursuant to Section 5.03(a) of this Agreement, with such additions, deletions and modifications as agreed to by the Master Servicer, the Securities Administrator and the Servicer.

  • Servicer’s Report means any report of the Servicer delivered pursuant to Section 3.1(a) of the Administration Agreement, substantially in the form acceptable to the Administrator.

  • Master Servicer Reporting Date With respect to any Distribution Date, 3:00 p.m. New York time on the 18th day of the calendar month in which such Distribution Date occurs or, if such 18th day is not a Business Day, the Business Day immediately succeeding such 18th day.

  • Progress Report means the report similar in form and content to that attached hereto as Appendix III.

  • Monthly Progress Report Shall have the meaning set forth in Section 13.7 (Monthly Progress Report).
