Incentive Compensation Subcommittee means a subcommittee of the Nominations, Compensation and Corporate Governance Committee, appointed by the Nominations, Compensation and Corporate Governance Committee, the composition of which subcommittee shall satisfy the requirements of Rule 16b-3 under the Securities and Exchange Act of 1934, as amended (the "1934 Act"), with respect to grants to Section 16(a) Persons, and who also qualify, and remain qualified as "outside directors" as defined in Section 162(m) of the Code.
