Issuer Units definition

Issuer Units means (i) the Units and (ii) shares of common stock, membership interests or other Equity Securities that any Holder may be entitled to receive in connection with an IPO.
Issuer Units means the units of the Issuer, with each Issuer Unit comprised of one (1) Issuer Common Share and one-half (½) of one Issuer Common Warrant;
Issuer Units means an aggregate of 12,500,000 units of the Issuer issued in connection with the Concurrent Financing at a price of $0.40 per Issuer Unit, each Issuer Unit being comprised of one Issuer Share and one Issuer Warrant.

  • The Subscriber has made such independent investigation of the Issuer and its subsidiaries and related matters as the Subscriber deems to be necessary or advisable in connection with the acquisition of the Issuer Units contemplated by this Agreement.

  • The Subscriber has had an opportunity to ask questions and receive answers concerning the terms and conditions of the offering of Issuer Units and has had full access to such other information concerning Issuer and its subsidiaries as such Subscriber has requested.

  • Issuer has all requisite power and authority to issue Issuer Units in accordance with this Agreement.

  • Common Units is defined in the Partnership Agreement.

  • Issuer Shares means the shares of Common Stock or other equity securities of the Company, and any securities into which such shares of Common Stock or other equity securities shall have been changed or any securities resulting from any reclassification or recapitalization of such shares of Common Stock or other equity securities.

  • ETP Securities means the Series of ETP Securities to which these Conditions relates or, as the context may require, any or all securities issued by the Issuer under the Programme.

  • Class B Units means the Class B Units of the Company.

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • Placement Units shall have the meaning given in the Recitals hereto.
