Italian Security Documents definition

Italian Security Documents means each Security Document in relation to Italian Security;

Italian Security Documents means the Italian Quotaholders Pledge Agreement.

Italian Security Documents means all Transaction Security Documents governed by Italian law and “Italian Security Document” means any one of them.

• The Notes Secured Parties expressly waive any right they may have under article 1394 of the Italian Civil Code in respect of contractual arrangements entered into by the Collateral Trustee in their name and on their behalf pursuant to or in connection with the Italian Security Documents, in each case to the extent legally possible to such Notes Secured Party.

More Definitions of Italian Security Documents

Italian Security Documents means any and all instruments, documents and agreements, including share charges and debentures, governed by the Laws of Italy pursuant to which MEMC Italy, Holdings, the Borrower, any other Subsidiary or any other Person shall grant or convey to the Italian Security Agent or the Administrative Agent, as the case may be, a Lien in (or perfect such Lien), or any other Person shall acknowledge any such Lien in, property as security for all or any portion of the Obligations or any other obligation under any Loan Document, with the threshold of $12,000,000.

Italian Security Documents has the meaning given to it in the lntercreditor Deed.

Italian Security Documents means the Italian law governed security documents to be entered into by any Loan Party creating or expressed to create a security over all or any part of the assets of an Italian Loan Party in respect of the Obligations of each Loan Party under the Loan Documents.

Italian Security Documents means the assignment of receivables governed by Italian law substantially in the form of Exhibit Q, the pledge over bank accounts of the Italian Borrower substantially in the form of Exhibit R and the pledge over shares of the Italian Borrower in form and substance satisfactory the Collateral Agent.

"ITALIAN STOCK PLEDGE AGREEMENT" MEANS (i) THAT CERTAIN FIRST RANKING SHARE PLEDGE AGREEMENT FROM THE BORROWER TO BANK OF AMERICA ITALY, WHICH GRANTS, PLEDGES AND ASSIGNS TO BANK OF AMERICA ITALY, AS SECURITY FOR THE ITALIAN OBLIGATIONS, ONE HUNDRED PERCENT (100%) OF THE ISSUED AND OUTSTANDING SHARES OF THE ITALIAN HOLDING COMPANY AND (ii) THAT CERTAIN FIRST RANKING SHARE PLEDGE AGREEMENT FROM THE ITALIAN HOLDING COMPANY TO BANK OF AMERICA ITALY. WHICH GRANTS, PLEDGES AND ASSIGNS TO BANK OF AMERICA ITALY, AS SECURITY FOR THE ITALIAN OBLIGATIONS, ONE HUNDRED PERCENT (100%) OF THE ISSUED AND OUTSTANDING SHARES OF EACH OF CAPSOL ITALY AND OCIESSE, EACH AS THE SAME MAY FROM TIME TO TIME BE AMENDED, RESTATED, SUPPLEMENTED OR OTHERWISE MODIFIED. THE AGENT, THE LENDERS AND THE BORROWER ACKNOWLEDGE AND AGREE THAT THE ITALIAN STOCK PLEDGE AGREEMENTS WILL NOT BE EXECUTED AND DELIVERED UPON CLOSING AND CONSUMMATION OF THE ITALIAN CREDIT FACILITY, BUT WILL BE EXECUTED AND DELIVERED AS SOON AS COMMERCIALLY PRACTICABLE FOLLOWING CLOSING.

Italian Security Documents means the security documents set out in Part 2 of Schedule 1 to these Terms and Conditions.
