Licence Metrics definition

Licence Metrics the limitation on the usage of each of the Software or SaaS Services as designated and/or defined in the applicable Order Form by a term such as the number of concurrent users, named users, CPUs and the like. Common Licence Metrics for Us with definitions are as follows:
Licence Metrics means the limited number of users and/or other units (where applicable) relevant to the Subscription Services, as further described in a Product Schedule and Order Form;
Licence Metrics means limits on Product usage as set forth in the Quote such as Titles, Circulation, Users, students, seats, and reports.

  • For the avoidance of doubt, the Term set forth above applies to all Licence Metrics purchased by You as of the Effective Date, plus any Additional Items purchased during the Term on a pro-rata basis from the date of purchase.

  • Subject to Your timely payment of applicable Support fees, You are entitled to receive Updates of Our Software free of charge for the Licence Metrics granted to You.

  • The additional Licence Metrics purchased shall terminate on the same date as the pre-existing Products.

  • Use of the Software is expressly limited to the maximum number of Licence Metrics and the use rights and limitations as set forth in the Order Form.

  • The number of Licence Metrics provided in the initial Quote is a minimum amount that Customer has committed to for the Term and there shall be no fee adjustments or refunds for any decreases in usage.

Licence Metrics means the limitation on the number of Authorised Users, usage of each Cygnus SaaS Product as described in the applicable Order Form by a term such as the number of customers, devices, users and the like;
Licence Metrics means the limitation on the usage of the BenefactorCloud Application as designated and/or defined in the Schedule or applicable Order Form or the financial metric used to calculate applicable fees and designated by a term such as the number of Authorised Users.
Licence Metrics means the variable element identified in a Product Agreement as the basis on which the Client’s right to use a Licensed Product, and the Fees payable by the Client for use of the Licensed Product, have been calculated. By way of example only, the Licence Metric may be the number of Authorised Users licensed to use a Licensed Product.

  • KPI means the key performance indicators as set out in Schedule 5;

  • Performance Measure means one or more of the following selected by the Committee to measure Company, Affiliate, and/or business unit performance for a Performance Period, whether in absolute or relative terms (including, without limitation, terms relative to a peer group or index): basic, diluted, or adjusted earnings per share; sales or revenue; earnings before interest, taxes, and other adjustments (in total or on a per share basis); basic or adjusted net income; returns on equity, assets, capital, revenue or similar measure; economic value added; working capital; total shareholder return; and product development, product market share, research, licensing, litigation, human resources, information services, mergers, acquisitions, sales of assets of Affiliates or business units. Each such measure shall be, to the extent applicable, determined in accordance with generally accepted accounting principles as consistently applied by the Company (or such other standard applied by the Committee) and, if so determined by the Committee, and in the case of a Performance Compensation Award, to the extent permitted under Code Section 162(m), adjusted to omit the effects of extraordinary items, gain or loss on the disposal of a business segment, unusual or infrequently occurring events and transactions and cumulative effects of changes in accounting principles. Performance Measures may vary from Performance Period to Performance Period and from Participant to Participant, and may be established on a stand-alone basis, in tandem or in the alternative.

  • Performance Measures means measures as described in Article 12 on which the performance goals are based and which are approved by the Company’s shareholders pursuant to this Plan in order to qualify Awards as Performance-Based Compensation.

  • Baseline actual emissions means the rate of emissions, in tons per year, of a regulated NSR pollutant, as determined in accordance with paragraphs (i) through (iv) of this definition.

  • Milestones means control points in the project that help to chart progress. Milestones may correspond to the completion of a key deliverable, allowing the next phase of the work to begin. They may also be needed at intermediary points so that, if problems have arisen, corrective measures can be taken.
