Licensee Software definition

Licensee Software means any software for the Licensee Products that is: (i) developed by Licensee, or (ii) acquired or licensed from a third party by Licensee, or (iii) developed for Licensee by a third party.
Licensee Software means software developed by Licensee that Licensee licenses to third parties.
Licensee Software shall have the meaning set forth in Section 3.

  • OT is not responsible or liable for Licensee’s development or use of additional software code or software products (“Licensee Software”) using software developer tools licensed by OT and Licensee will defend and indemnify OT against any claims, damages, costs, losses or expenses related to the development or use of the Licensee Software.

  • In the event that Licensee Software License usage exceeds the total number of Software License(s) purchased or leased the Licensor and Licensee hereby agree to enter into good faith negotiations for the purchase and/or lease of the additionally required Software License(s) or Licensee shall comply with the previously established Software License(s) usage limits.

  • To obtain rights to distribute file "URL.DLL" supplied as part of the Microsoft Win32 SDK that may be included with the Licensed Software, Licensee must print out, sign and return the Microsoft Win32 SDK End User Licensee Software License Agreement (located at \license\win32sdk.txt in the Microsoft Win32 SDK) to Microsoft Corporation, Win32 SDK Program, Building 5-2, Xxx Xxxxxxxxx Xxx, Xxxxxxx, Xxxxxxxxxx 00000-6399.

  • To the extent that any Licensee Software or additional components from Licensee are included or bundled with the Licensee Product, such components shall be included as part of the Licensee Product for purposes of determining Net Revenue and royalties hereunder, whether or not listed as separate line items on the invoice, except for distinct value added products and services requiring a separately invoiced payment or activation which are subject to Section II (C) of this Exhibit D, below.

  • Initially, Licensor will provide Licensee Software Maintenance through the expiration date of the Security Device first provided by Licensor to enable functionality of the Activated Software.


More Definitions of Licensee Software

Licensee Software means the software, if any, developed by, or on behalf of, and owned by Licensee and incorporated or integrated into the Software in accordance with the Licensor's Custom Software Guidelines as set forth in EXHIBIT E.
Licensee Software means any software developed by Licensee which is not a Derivative Work of the Technology and which is designed to run on Technology or any portions thereof.

Licensee Software means any software generated by Licensee for the development of the Game including all source code, tools, routines, libraries, etc. and any software (whether owned by a third party or by Licensee) added to the Games by Licensee for the purpose of protecting the Games (Digital Rights Management) or for processing billing payments.
Licensee Software means software developed or to be developed by Licensee for incorporating into Licensee's electronic commerce network (whether existing in source code or object code form), including without limitations, centralized procurement and procurement manager modules.
Licensee Software means software that contains LICENSEE MODIFICATIONS and all or any part of LICENSED SOFTWARE.
