The Contractor’s obligation to provide Annual Reports shall commence on February 1 of the calendar year following either the Contractor’s receipt of Final Payment pursuant to Section 4.03 hereto, at such time as Licensing Revenues become due to the Contractor or upon the first Sale, whichever event occurs first.
