Major Service Provider definition

Major Service Provider means any Service Provider that Seller proposes to engage to perform any EPC Services and/or any Facility Services for which the aggregate compensation to such Service Provider in any calendar year is expected to be greater than [***] of the Services Fees paid to Seller in the applicable calendar year. The Parties agree that each of the Major Service Providers set forth on Schedule 4.6 hereof are approved for all purposes by Buyer as of the Original PUMA Agreement Date.

Major Service Provider means any Service Provider that Seller proposes to engage to perform any Installations Services for which the aggregate compensation to such Service Provider in respect of Installation Services is expected to be greater than ten percent (10%) of Seller’s budgeted amounts for all Installation Services for all the Phase 2 New Systems pursuant to this Agreement.
