MLP SEC Documents definition

MLP SEC Documents means, collectively, all reports, schedules, forms, certifications, prospectuses, and registration, proxy and other statements required to be filed or furnished by MLP and its Subsidiaries since December 31, 2019, including all exhibits and schedules thereto and documents incorporated by reference therein.
MLP SEC Documents means the Annual Reports on Form 10-K, the Quarterly Reports on Form 10-Q and the Current Reports on Form 8-K, forms schedules, certifications, prospectuses, registration statements and other documents required to be filed or furnished by MLP with or to the SEC, as applicable, pursuant to the Exchange Act or the Securities Act.
MLP SEC Documents means, collectively, all reports, schedules, forms, certifications, prospectuses, and registration, proxy and other statements required to be filed or furnished by the MLP and its Subsidiaries since December 31, 2015, including all exhibits and schedules thereto and documents incorporated by reference therein.

  • As of the date of this Agreement, there are no outstanding or unresolved comments received from the SEC staff with respect to the MLP SEC Documents.

  • The principal executive officer and the principal financial officer of MLP have made all certifications required by the Xxxxxxxx-Xxxxx Act, the Exchange Act and any related rules and regulations promulgated by the SEC with respect to the MLP SEC Documents, and the statements contained in such certifications were complete and correct when made.

  • To the Knowledge of MLP, none of the MLP SEC Documents is the subject of ongoing SEC review or investigation.

  • Such disclosure controls and procedures are effective to ensure that information required to be disclosed by MLP in the MLP SEC Documents under the Exchange Act is recorded, processed, summarized and reported within the time periods specified in SEC rules and forms.

  • The Principal Officers have made all certifications required by the Xxxxxxxx-Xxxxx Act and the Exchange Act with respect to the MLP SEC Documents, and the statements contained in such certifications were complete and correct when made.

  • As of the date of this Agreement, neither the Seller nor the Xxxxxxxxx Entities are aware of information that would give them a reasonable basis to believe that the disclosures set forth in the MLP SEC Documents with respect to the Gulf LNG Arbitration are no longer true.

  • The MLP SEC Documents, as of their respective dates, (i) complied in all material respects as to form with the applicable requirements of the Securities Act or the Exchange Act, as the case may be, and (ii) did not contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements made therein, in the light of the circumstances under which they were made, not misleading.

  • Except for any Material Contracts filed without redaction as exhibits to the Company SEC Documents or the MLP SEC Documents, a copy of each Material Contract has previously been made available to Parent.

MLP SEC Documents shall have the meaning set forth in Section 5.1.
MLP SEC Documents means (i) MLP's Registration Statement on Form S-3 (SEC File No. 333-101165), including the Prospectus, dated November 22, 2002, constituting a part thereof, (ii) MLP's annual report on Form 10-K for its fiscal year ended September 30, 2002, as amended to date; (iii) MLP's quarterly reports on Form 10-Q for its fiscal quarters ended December 31, 2002 and March 31, 2003, respectively; (iv) MLP's current reports on Form 8-K dated February 5, 2003, February 10, 2003, February 27, 2003, February 27, 2003, May 7, 2003 and May 19, 2003, respectively; and (v) the description of the MLP Common Units contained in MLP's Registration Statement on Form 8-A filed with the Securities and Exchange Commission on March 15, 2001, which is incorporated into that registration statement by reference to the description of the MLP Common Units set forth under the captions "Prospectus Summary," "Cash Distribution Policy," "Description of the Common Units," "The Partnership Agreement" and "Tax Considerations" in the Prospectus forming a part of MLP's Registration Statement on Form S-1 (Reg. No. 333-56976).
MLP SEC Documents means (i) MLP's Registration Statement on Form S-1 which became effective with the SEC on July 25, 2001, (ii) MLP's quarterly report on Form 10-Q (the "10-Q") for its fiscal quarter ended June 30, 2001, filed with the SEC, (iii) MLP's current report on Form 8-K dated November 2, 2001, filed with the SEC, and (iv) any report filed by MLP with the SEC after the date hereof and prior to the Closing Date.
MLP SEC Documents has the meaning given to it in Section 3.09(a).

Related to MLP SEC Documents

  • SEC Documents shall have the meaning specified in Section 4.5.

  • Company SEC Documents has the meaning set forth in Section 3.04(a).

  • Buyer SEC Documents shall have the meaning set forth in Section 4.10(a).

  • Parent SEC Documents has the meaning set forth in Section 4.6(a).

  • SEC Filings has the meaning set forth in Section 4.6.

  • SEC Reports shall have the meaning ascribed to such term in Section 3.1(h).

  • SEC Report means, with respect to any Calendar Quarter, the Corporation’s Annual Report on Form N-CSR, Semi-Annual Report on Form N-SAR, or Quarterly Report on Form N-Q, as applicable, filed by the Corporation with the Securities and Exchange Commission with respect to the fiscal period ending as of the last day of such Calendar Quarter.

  • Company SEC Reports shall have the meaning set forth in Section 3.8(a).

  • Subsequent Disclosure Documents means any financial statements, management’s discussion and analysis, information circulars, annual information forms, material change reports (other than confidential material change reports), business acquisition reports or other documents issued by the Corporation after the Execution Time which are, or are deemed to be, pursuant to applicable Securities Laws, incorporated by reference into the Final Prospectuses or any Prospectus Amendment;

  • Disclosure Documents is defined in Section 5.3.

  • Parent SEC Reports has the meaning set forth in Section 4.5(a).

  • Buyer SEC Reports has the meaning set forth in Section 4.6.

  • Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.

  • Public Reports includes all reports filed by Company under the Act or the Exchange Act, including pursuant to Section 13(a) or 15(d) thereof, for the two full fiscal years preceding the Effective Date and thereafter.

  • Public Documents As defined in Section 4.02(a) of this Agreement.

  • Company Disclosure Documents is defined in Section 3.4(g) of the Agreement.

  • L/C Documents means the Letters of Credit, any draft or other document presented in connection with a drawing thereunder, the Applications and this Agreement.

  • Parent Reports has the meaning set forth in Section 4.5(a).

  • Disclosure Memorandum means the set of numbered schedules referencing Sections of this Agreement delivered by Seller and dated of even date herewith, as supplemented by new or amended schedules delivered by Seller prior to the Closing.

  • Pricing Disclosure Package means any Issuer General Use Free Writing Prospectus issued at or prior to the Applicable Time, the Pricing Prospectus and the information included on Schedule 2-A hereto, all considered together.

  • Exchange Act Documents means all forms, proxy statements, registration statements, reports, schedules, and other documents, including all certifications and statements required by the Exchange Act or Section 906 of the Xxxxxxxx-Xxxxx Act with respect to any report that is an Exchange Act Document, filed, or required to be filed, by a Party or any of its Subsidiaries with any Regulatory Authority pursuant to the Securities Laws.

  • Commission Documents means, as of a particular date, all reports, schedules, forms, statements and other documents filed by the Company with the Commission pursuant to the reporting requirements of the Exchange Act, including material filed pursuant to Section 13(a) or 15(d) of the Exchange Act, and shall include all information contained in such filings and all filings incorporated by reference therein.

  • Disclosure Letters means the Seller Disclosure Letter and the Buyer Disclosure Letter.

  • Disclosure Time means, (i) if this Agreement is signed on a day that is not a Trading Day or after 9:00 a.m. (New York City time) and before midnight (New York City time) on any Trading Day, 9:01 a.m. (New York City time) on the Trading Day immediately following the date hereof, unless otherwise instructed as to an earlier time by the Placement Agent, and (ii) if this Agreement is signed between midnight (New York City time) and 9:00 a.m. (New York City time) on any Trading Day, no later than 9:01 a.m. (New York City time) on the date hereof, unless otherwise instructed as to an earlier time by the Placement Agent.

  • U.S. Final Prospectus means the Canadian Final Prospectus with such deletions therefrom and additions thereto as are permitted or required by Form F-10 and the applicable rules and regulations of the SEC, included in the Registration Statement at the time it becomes effective, including the Documents Incorporated by Reference;

  • Company Financial Statements has the meaning set forth in Section 3.6(a).
