The Monthly Services Charge (without consideration of any previous adjustments pursuant to this Section 3(f)) shall be adjusted on March 1 of each Contract Year commencing on or after January 2006 by an amount equal to the percentage increase, if any, in the PPI from the month of December 2004 to the month of December immediately preceding such Contract Year; provided, however, the Monthly Services Charge will not decrease as a result of any decrease in the PPI.
Upon reasonable notice to Incumbent that any such Equipment requires replacing, Incumbent shall be responsible for providing the labor and other associated costs of installing any such Equipment, pursuant to any Monthly Services Charge adjustment set forth in Section 5.4 of this Maintenance Agreement.
Such costs and expenses are not included within the Monthly Services Charge or any other charges payable by OTI under this Agreement.
IBM will prepare an amendment to the Agreement (including the affected Schedules) extending the Term, the Monthly Services Charge and other related provisions, as appropriate.
