Monthly Sleeve Fee definition

Monthly Sleeve Fee means the Sleeve Fee or Unwind Sleeve Fee, as applicable, as defined in Schedule 3.04.

Monthly Sleeve Fee means, in respect of any calendar month for which the Credit Sleeve Termination Date has not occurred or prior to the Monthly Determination Date for such month, (a) if the Merrill Parties remain obligated in respect of any Post-Unwind Start Date Transactions with Current Exposure that is equal to or greater than 50 BCFe (as determined as of the Monthly Determination Date for such month), $1,000,000, (b) if the Merrill Parties remain obligated in respect of any Post-Unwind Start Date Transactions with Current Exposure that is equal to or greater than 30 BCFe but less than 50 BCFe (as determined as of the Monthly Determination Date for such month), $750,000, and (c) if the Merrill Parties remain obligated in respect of any Post-Unwind Start Date Transactions with Current Exposure that is less than 30 BCFe (as determined as of the Monthly Determination Date for such month) or if the Credit Sleeve Termination Date has not occurred on or prior to such Monthly Determination Date, $500,000; provided that for any month following January 2010 in which the Credit Sleeve Termination Date has not occurred on or prior to the Monthly Determination Date for such month, the Monthly Sleeve Fee that would otherwise be payable for such month shall be increased by 100%.

Monthly Sleeve Fee means, in respect of any month, the “Monthly Sleeve Fee” for such month set forth on the Fee Schedule; provided that following the declaration of an Unwind Start Date by REPS in accordance with Section 9.02(a), the Monthly Sleeve Fee for any month shall equal (i) the “Monthly Sleeve Fee” for such month set forth on the Fee Schedule multiplied by (ii) the Sleeve Adjustment Factor.

Examples of Monthly Sleeve Fee in a sentence

  • If the due date of any payment under this Agreement would otherwise fall on a day that is not a Business Day, such date shall be extended to the immediately succeeding Business Day and interest shall be payable for any amount so extended for the period of such extension (except in the case of the Monthly Sleeve Fee).

  • Payment of the Initial Monthly Sleeve Fee Amount for each delivery month under Schedule 3.04(b)(i)(C) shall be due on the next Monthly Payment Date.

  • The Monthly Sleeve Fee shall accrue on each day from the Effective Date to and including the Unwind Conclusion Date and be payable in arrears by REPS to the Sleeve Provider in monthly installments on each Monthly Payment Date, in each case, as determined in accordance with Schedule 3.04.

  • The “ Monthly Sleeve Fee Amount” for each delivery month shall be the difference between (i) the ERCOT MWHs per Schedule 3.04(b)(ii)(B) for such month multiplied by the Sleeve Fee Factor in effect for such month less (ii) the Initial Monthly Sleeve Amount in accordance with Schedule 3.04(b)(i) for such month.

  • The invoice shall include the following if applicable for each delivery month: (A) the Initial Monthly Sleeve Fee Amount per Schedule 3.04(b)(i), (B) the Monthly Sleeve Fee Amount per Schedule 3.04(b)(ii) and (C) the True-Up Sleeve Fee Amount per Schedule 3.04(b)(iii).

  • Payment of the Monthly Sleeve Fee Amount for each delivery month under Schedule 3.04(b)(ii)(C) shall be due on the next Monthly Payment Date.

  • In addition, NRG hereby unconditionally promises to pay to the Sleeve Provider from time to time on demand interest accruing at a rate per annum equal to the Post-Default Rate (as in effect from time to time) on the aggregate amount of any Monthly Sleeve Fee and on any other amount payable hereunder that is not paid in full when due.

  • The Monthly Sleeve Fee or any portion thereof shall not be refundable under any circumstances.

  • The Monthly Sleeve Fee shall accrue on each day from the Initial Effective Date to and including the Unwind Conclusion Date and be payable in arrears by REPS to the Sleeve Provider in monthly installments on each Monthly Payment Date, in each case, as determined in accordance with Schedule 3.04.

  • NRG hereby unconditionally promises to pay to the Sleeve Provider, with respect to each month, the Monthly Sleeve Fee for such month, payable in advance on the Monthly Payment Date for such month.

Related to Monthly Sleeve Fee

  • Monthly Service Fee means a monthly charge to a member for continuing care and not as rent, or a daily prorated portion thereof.

  • Monthly Service Fees means the monthly (or 1/12 of the annual fee) subscription fees paid for the affected Cloud Service which did not meet the SA SLA.

  • Monthly Fee means the total consideration, including but not limited to, equipment or locker rental,

  • Monthly Servicing Fee shall have the meaning specified in subsection 3.01.

  • Monthly shall be construed accordingly;

  • Monthly Debt Service Payment Amount means, for each Monthly Payment Date, an amount equal to the amount of interest which is then due on all the Components of the Loan in the aggregate for the Interest Period during which such Monthly Payment Date occurs.

  • Monthly Fees means, collectively, [INSERT FOR HFS: the Monthly Food and Beverage Fee,] the Monthly Program Fee and the Monthly Royalty Fee, each of which is set forth in the Addendum. [INSERT FOR HFS: “Monthly Food and Beverage Fee” means the fee we require from you in Subsection 8.2, which is set forth in the Addendum.]

  • Monthly Base Rent The monthly rent specified in Section 1.01(8).

  • Expense Fee As to each Mortgage Loan and any Distribution Date, the product of the Expense Fee Rate and its Stated Principal Balance as of that Distribution Date.

  • Monthly Charges means a finance carrying charge of one and one-half of one percent (1.5%) and a storage and handling charge of one-half of one percent (0.5%), in each case of the Cost of the Inventory and/or Special Inventory and/or of the fees for the Product affected by the reschedule or cancellation (as applicable) per month until such Inventory and/or Special Inventory and/or Product is returned to the vendor, used to manufacture Product or is otherwise purchased by Customer.

  • Total Servicing Fee means the sum of the Basic Servicing Fee and the Supplemental Servicing Fee.

  • Additional Servicing Fee means, for any Collection Period, if a successor Servicer has been appointed pursuant to Section 8.2 of the Sale and Servicing Agreement, the amount, if any, by which (i) the compensation payable to such successor Servicer for such Collection Period exceeds (ii) the Monthly Servicing Fee for such Collection Period.

  • Advance Reimbursement Amount has the meaning stated in Section 4.4(b) of the Servicing Supplement.

  • Base Servicing Fee means the fee payable to the Servicer on each Distribution Date for services rendered during the related Collection Period, which shall be equal to one-twelfth of the Servicing Rate multiplied by the Pool Balance as of the close of business on the last day of the immediately preceding Collection Period or, with respect to the first Distribution Date, the Original Pool Balance.

  • Contract Fee means the lump sum rates as outlined in Schedule ‘B’ – Quote Form.

  • Service Fee means a fee charged by us to you for the administration of your credit facility.

  • Maintenance Fee The Maintenance Fee (see Contract Schedule I) will be deducted during the Accumulation Period from the Current Value on each anniversary of the date the Account is established and upon surrender of the entire Account.

  • Usage Fee means the subscription fees to be paid by the Agency for ongoing access to Services.

  • Deferred Sales Charge Payment Dates means the dates specified for deferred sales fee installments under "Investment Summary--Fees and Expenses" in the Prospectus for the Trust.

  • Monthly Remittance Amount The sum of the Group I Monthly Remittance Amount and the Group II Monthly Remittance Amount.

  • Annual Service Charge for any period means the aggregate interest expense for such period in respect of, and the amortization during such period of any original issue discount of, Indebtedness of the Issuer and its Subsidiaries.

  • Servicer Prepayment Charge Payment Amount The amounts payable by the Servicer in respect of any waived Prepayment Charges pursuant to Section 2.05 or Section 3.01.

  • Minimum Monthly Payment for any Mortgage Loan and any month means the minimum amount required to be paid by the related mortgagor in that month.

  • Monthly Date means the last Business Day of each calendar month.

  • Monthly Payment Amount means, with respect to each Payment Date, a payment equal to the amount of interest which has accrued during the related Interest Accrual Period, computed at the Interest Rate.
