NBC Competitor definition

NBC Competitor is a company that is significantly engaged in any of the primary businesses of National Broadcasting Company, Inc. NBC will use all reasonable efforts to promptly inform QSI of whether it considers a potential buyer an NBC Competitor.
NBC Competitor means any entity which owns or controls a broadcast, cable or satellite television channel or service, or any affiliate of such an entity. To the extent that TiVo at any time in the future offers for sale or otherwise distributes any reports or other materials which incorporate or rely upon *Material has been omitted pursuant to a request for confidential treatment. Such material has been filed separately with the Securities and Exchange Commission.
NBC Competitor shall have the meaning specified in the Operating Agreement.

NBC Competitor means Disney/ABC, CBS/Viacom, News Corporation/Fox, Time Warner, Liberty Media, USA Network or their affiliates. "NBCi Competitor" means Yahoo!, MSN, AOL/Netcenter, Excite AtHome, Lycos, Go Network, Xx0Xxx.xxx, AltaVista, CMGI (so long as CMGI continues to own a controlling interest in an Internet e-commerce/content company which could provide services/content which may compete with those provided by NBCi), Amazon or their respective affiliates. As used above, "affiliates" shall include entities that directly, or indirectly through one or more intermediaries, control, or are controlled by, or are under common control with one or more of the entities listed above. The rights and obligations under this Section 6.1 shall terminate immediately upon the closing of the Initial Offering.

The "NBC Competitors" include, without limitation, as of the date hereof, Disney/ABC, CBS/Viacom (including CBS Sporxxxxxx.xxx xxx Sporxx.xxx), Xime Warner/AOL, News Corporation/Fox and Vivendi.
NBC Competitor means a Person, division or operation whose Primary Business (as defined below) is a NBC Competing Business and all direct and indirect Subsidiaries of such Person, division or operations.
