O&M Agreements definition

O&M Agreements means any project-level operation and maintenance agreements entered or to be entered into between any member of the Terra Group and any member of the Manager’s Group or any other third party.

O&M Agreements means, collectively, (i) each Tax Equity Opco O&M Agreement and (ii) each Wholly Owned Opco O&M Agreement.

O&M Agreements mean, collectively, each of the operation and maintenance agreements between the Operator and a Project Company, as each such agreement may be amended, supplemented or replaced from time to time.

Examples of O&M Agreements in a sentence

• Borrowers shall cause Mortgage Borrowers to operate the Properties in accordance with the terms and provisions of the O&M Agreements in all material respects.

• The Borrower shall, and shall cause the Relevant Parties, Manager and Operators to, operate and maintain the Projects pursuant to the then-current Operating Budget, the O&M Agreements, the Portfolio Documents, all other agreements with respect to the Project (including any provisions of any manufacturer, installer or other warranties), Prudent Industry Practices and applicable Law.

• The O&M Agreements contain terms and conditions related to operation and maintenance of the Gage.

• The Parties shall, at their own expense and subject to the O&M Agreements, keep and maintain in good repair the Gage.

• Borrowers shall operate the Properties in accordance with the terms and provisions of the O&M Agreements in all material respects.

More Definitions of O&M Agreements

O&M Agreements has the meaning given in Schedule A of the CSAA.

O&M Agreements means each Operation and Maintenance Agreement between any Borrower and the Operator.

O&M Agreements means, collectively, the LNG O&M Agreement, the Liquefaction O&M Agreement and, from and after the time that the Partnership acquires the Pipeline, the Creole O&M Agreement.

O&M Agreements means (a) the Operation and Maintenance Agreement for the Bridgeport Energy Facility, dated as of February 3, 2006, between Bridgeport Energy (as assignee of Parent) and North American Energy Services Company, a Washington corporation (“NAES”); (b) the Operation and Maintenance Agreement for the Casco Bay Energy Facility, dated as of February 3, 2006, between Casco Bay (as assignee of Parent) and NAES; (c) the Operation and Maintenance Agreement for the Xxxx Landing and Oakland Energy Facilities, dated as of February 6, 2006, among LSP Xxxx Landing (as assignee of Parent with respect to the Xxxx Landing Project), LSP Oakland (as assignee of Parent with respect to the Oakland Project) and Wood Group Power Operations (West), Inc., a Nevada corporation (“Wood Group”); (d) the Operation and Maintenance Agreement for the Morro Bay Energy Facility, dated as of February 6, 2006, between LSP Morro Bay (as assignee of Parent) and Wood Group; (e) the Operation and Maintenance Agreement for the South Bay Energy Facility, dated as of February 6, 2006, between LSP South Bay (as assignee of Parent) and Wood Group; (f) the Operation and Maintenance Agreement for the Arlington Valley Energy Facility, dated as of February 6, 2006, between LSP Arlington Valley (as assignee of Parent) and Wood Group; (g) the Parent Guarantee, dated as of February 6, 2006, between Wood Group Power Operations, Inc., a Nevada corporation (“WGPO”), and Parent, as amended; (h) the Parent Guarantee, dated as of the date hereof, among WGPO, LSP Xxxx Landing and LSP Oakland; (i) the Parent Guarantee, dated as of the date hereof, between WGPO and LSP Morro Bay; (j) the Parent Guarantee, dated as of the date hereof, between WGPO and LSP South Bay; and (k) the Parent Guarantee, dated as of the date hereof, between LSP Arlington Valley and WGPO.

O&M Agreements means any operations and maintenance agreement between an Operator and any or all of the Parties.

O&M Agreements means that certain (i) Operation and Maintenance Management Agreement, entered into between PR Project Company and WCG Asset Operations, LLC, dated as of December 30, 2011 and (ii) Operations and Maintenance Management Agreement, entered into between LC Project Company and WCG Asset Operations, LLC, dated as of October 22, 2009.

O&M Agreements means the operation and maintenance agreements entered into between each of the Project Companies and SunE Greenfield, together with the associated guarantees and direct agreements, in each case as contained in the Data Room;
