Other Shippers means each of the Shippers other than the relevant Shipper; “Outputs” has the meaning given in Section E paragraph 1.1.3 of the IUK Access Code;

Other Shippers means all Persons, other than the Shipper, which, at the relevant time are party to an agreement with INGL for the transportation of Natural Gas through the Transmission System, and "Other Shipper" means any one of such Persons. "Party" shall mean either the Shipper or INGL, and "Parties" shall mean both the Shipper and INGL. "Person" shall mean any natural person, firm, partnership, association, organisation, foundation, trust, joint venture, company, government, governmental body, authority, or other incorporated or unincorporated body. Unless the context otherwise requires, the expression may include INGL and/or the Shipper. "Potential Shippers" shall mean all Persons, other than the Shipper and Other Shippers, which have applied, in a written format acceptable to INGL, to enter into an agreement with INGL for the transportation of Natural Gas through the Transmission System. "PRMS" shall mean the pressure reduction and metering stations to be located at, or near, one or more Designated Redelivery Points (as determined by INGL) to reduce the pressure of, and to meter, the Natural Gas transported by INGL hereunder and which are required to measure, test and verify the quantity and/or composition of Natural Gas, and any pipeline segment Downstream thereof operated by INGL. "Proper Nomination" shall mean Nominations made by the Shipper and accepted by INGL in accordance with Section 12. "Reasonable and Prudent Operator" shall mean a Person seeking in good faith to perform its contractual obligations and, in so doing and in the general conduct of its undertaking, exercising that degree of skill, diligence, prudence and foresight which would reasonably and ordinarily be expected from a skilled and experienced operator engaged in the same type of undertaking under the same or similar circumstances and conditions.

• Notwithstanding the approval of Other Shippers and/or Other Users, Terminal Operator shall be entitled to refuse to accept the Off-Specification LNG.

• However if the actual monthly average aggregate of Shipper's and Other Shippers' Send Out in a given Month M is less than two decimal five three (2.53) GWh/hour and is not due to Terminal Operator's fault or due to Force Majeure, then the Maximum Fuel Gas Reimbursement Percentage shall be calculated as follows: Maximum Fuel Gas Reimbursement Percentage = 1.30% + 1.3%*(2.53 -actual monthly average aggregate of Shipper's and Other Shippers' Send Out (in GWh/hour)), calculated to two significant digits.

• Prior to any amendment to such agreement that may have an impact on Shipper, Terminal Operator shall consult with Shipper and Other Shippers.

• Shipper acknowledges that Shipper’s LNG and associated regasified Natural Gas shall be commingled with LNG and associated regasified Natural Gas of Other Shippers and/or Other Users as well as the operational Quantity of LNG and the associated regasified Natural Gas of the Terminal Operator.

• Subject to and without prejudice to the other provisions of this LTA, it is acknowledged and agreed that Terminal Operator may (receive and) store LNG in the LNG Terminal with LNG received from, inter alia Shipper, Other Shippers and/or Other Users.

• This GC 4.3.2 shall also apply if Terminal Operator has accepted Off-Specification LNG from Other Shipper(s) or Other User(s) under GC 4.2.4 without consulting with Shipper or after Shipper has refused to allow Terminal Operator to commingle its LNG already within the LNG Terminal with such Off Specification LNG.

• This GC 3.3.2 shall also apply if Terminal Operator has accepted Off-Specification LNG from Other Shipper(s) or Other User(s) under GC 3.2.4 without consulting with Shipper or after Shipper has refused to allow Terminal Operator to commingle its LNG already within the LNG Terminal with such Off Specification LNG.

• The estimated quantity of Fuel Gas expressed in kWh for each Month M, FGm, shall be determined as a percentage of the Natural Gas redelivered by Terminal Operator to Shipper, the Other Shippers and the Other Users at the Redelivery Point.

• Any other actions taken by Terminal Operator which result in reducing the Actual Fuel Gas Consumption at the LNG Terminal shall be for the benefit of Shipper and Other Shippers and not be credited back to Terminal Operator when calculating the Actual or Deemed Fuel Gas Consumption.

• In order to secure Shipper’s due performance of this Agreement, the Terminal Operator is entitled to require the Shipper and the Other Shippers having entered into an LTA for LNG Services to : Terminal Operator shall be entitled at any time during the Service Term to request Shipper to demonstrate within fifteen (15) Business Days after the notification by Terminal Operator that the Financial Bank Guarantee or the acceptable credit rating, is in fact compliant with this GC 10.
