Partnership Services definition

Partnership Services means the services set out in Schedule 1 (including any part of the specified services and any ancillary services) or as otherwise notified by any of: the Trust Manager to the Partnership; by Rivtow simultaneously to the Trust Manager and Partnership; or by the Customer simultaneously to Rivtow, the Trust Manager and Partnership, from time to time.
Partnership Services means those services provided by the Partnership or its Retained Subsidiaries immediately following the Effective Date, which consists of the assurance and tax services currently provided by the Partnership, other than Consulting Services, including without limitation, attestation and verification services, business risk and technology risk management services, and other services utilizing BMP as a platform for the delivery of such services, including but not limited to those services identified on Appendix A attached hereto as Assurance Services, and the New Partnership Services.

  • Partnership Subsidiary means Host LP and any partnership, limited liability company, or other entity treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes in which either Host REIT or Host LP owns (or owned on or after January 1, 1999) an interest, either directly or through one or more other partnerships, limited liability companies or other entities treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes (whether or not Host REIT or Host LP has a controlling interest in, or otherwise has the ability to control or direct the operation of, such entity). Notwithstanding the foregoing, the term “Partnership Subsidiary” shall not in any way be deemed to include the Non-Controlled Subsidiaries or subsidiaries thereof, the Taxable REIT Subsidiaries or subsidiaries thereof, or the Subsidiary REITs or subsidiaries thereof.

  • Partnership Security means any class or series of equity interest in the Partnership (but excluding any options, rights, warrants and appreciation rights relating to an equity interest in the Partnership), including without limitation, Common Units, Subordinated Units and Incentive Distribution Rights.

  • Partnership Documents means (a) all Subject Instruments and (b) all other contracts, indentures, mortgages, deeds of trust, loan or credit agreements, bonds, notes, debentures, evidences of indebtedness, swap agreements, leases or other instruments or agreements to which the Partnership or any of its subsidiaries is a party or by which the Partnership or any of its subsidiaries is bound or to which any of the property or assets of the Partnership or any of its subsidiaries is subject that solely in the case of this clause (b), are material with respect to the Partnership and its subsidiaries taken as a whole.

  • Shared Services means shared order filling or shared order processing, or both.

  • General partnership means an organization formed under chapters 45-13 through 45-21.

  • Partnership Agreements means, collectively, all of the Partnership Agreements.

  • Brookfield Group means Brookfield and any Affiliates of Brookfield, other than any member of the BREP Group;

  • Cemetery services means cremations, grave openings and closings, and installation of grave memorials.

  • MLP GP means any general partner of any MLP and any general partner of the general partner of any MLP.

  • Service Partners means any successful vendor who is awarded the proposal or who entered into an agreement with CIPC and/or its clients to offer consulting services in areas such as but not limited to, strategic e-business consulting, evaluation, implementation and continuous improvement or system integration.
