Political Force Majeure definition

Political Force Majeure means any event, act, fact or circumstance (or any combination of the foregoing) occurring in Thailand described in any of the following paragraphs (a) to (e) (inclusive) which affects the ASM Plant and is beyond the direct control of ASM, the Processors and any other party seeking to rely on payment relief under the Finance Documents due to such event, act, fact or circumstance described in paragraphs (a) to (e) (inclusive) (or combination of the same) and does not arise through the wilful misconduct or gross negligence of ASM or such other parties:
Political Force Majeure means an event beyond the reasonable control of the Affected Party, which could not have been foreseen or avoided by the Affected Party acting and having acted as a reason­able and prudent party in the capacity of the Affected Party, that (a) results from any action or inaction by a Governmental Authority and (b) renders such Person wholly or partially unable at any time to (i) obtain sufficient access to the electrical distribution grid to permit the timely commissioning and testing of the Merchant Project, including the failure to comply with technical requirements of the ONS regarding frequency, (ii) market electrical energy produced by the Merchant Project or (iii) otherwise perform any of its obligations hereunder or under the GSA, Construction Contract, or O&M Agreement; provided, however, that such event giving rise to the claim of Political Force Majeure is not the result of the Affected Party failing to comply with all Laws promulgated by the Governmental Authority or otherwise the result of the fault, negligence, intentional acts or omissions of the Affected Party. "Pressure Specifications" means Natural Gas delivered at the Natural Gas Delivery Point within the minimum and maximum pressures specified in Exhibit "F".
Political Force Majeure has the meaning given in Clause 8; ‘Project’ means the design, financing, construction, commissioning, insurance, operation, maintenance and repair of the Facility and the performance of this Agreement; ‘Purchase Price’ means the price agreed between the Buyer and the Seller to be paid for Delivered Electricity that is specified in Schedule 2 of this Agreement; ‘Renewable Energy’ means Renewable non-fossil energy sources, those which are continually renewed through on-going natural processes, such as solar, wind, hydropower energy, geothermal energy, biomass, bio-gas and other organic waste fuel, which is used for electricity and (or) heat power generation;

Examples of Political Force Majeure in a sentence

  • The additional compensation shall cease as soon as the Company’s insurance premiums are no longer affected by the Political Force Majeure Event.

  • The Affected Party, to the extent rendered unable to perform its obligations or part of the obligation thereof under this Agreement as a consequence of the Force Majeure Event, shall be excused from performance of the obligations provided that the period shall not exceed 120 Days for a Non-Political Force Majeure Event and 90 Days for a Political Force Majeure Event from the date of issuance of the FM Notice.

  • The notice shall be given within fourteen (14) days after the Party became aware, or should have become aware, of the relevant event or circumstance constituting Political Force Majeure.

  • Each Party shall at all times use reasonable endeavours to minimise any delay in the performance of this Agreement as a result of Political Force Majeure.

  • A Party shall give notice to the other Party when it ceases to be affected by the Political Force Majeure.

  • This obligation to compensate shall continue only for the period that the Political Force Majeure Event subsists, provided that this obligation shall not exceed 90 Days from the date of issuance of the FM Notice.

  • The additional compensation provided for under this Section 18.5 shall cease as soon as the Concessionaire‟s insurance rates are no longer affected by the Political Force Majeure Event.

  • The Buyer’s Default Purchase Price, the Seller’s Default Purchase Price, Political Force Majeure Event Purchase Price or Other Force Majeure Purchase Price], as the case may be.

  • The Parties shall, no later than ten (10) Business Days after the receipt of the Political Force Majeure Event Notice by the Public Partner, meet to discuss the situation in connection with the Political Force Majeure Event, and the Public Partner shall make reasonable efforts to remedy such Political Force Majeure Event.

  • Unsubstantiated and/or unlawful refusal to issue or update (re-execute) Permits required for performance of Private Partner’s obligations under this Agreement may result in application of the provisions of this Agreement on Political Force Majeure Events, as set out in Section14.
