Political Force Majeure definition

Political Force Majeure means any event, act, fact or circumstance (or any combination of the foregoing) occurring in Thailand described in any of the following paragraphs (a) to (e) (inclusive) which affects the ASM Plant and is beyond the direct control of ASM, the Processors and any other party seeking to rely on payment relief under the Finance Documents due to such event, act, fact or circumstance described in paragraphs (a) to (e) (inclusive) (or combination of the same) and does not arise through the wilful misconduct or gross negligence of ASM or such other parties:
Political Force Majeure has the meaning given to that term in Clause 19.1(a). Procurer's Representative has the meaning given to that term in Clause 14(b).
Political Force Majeure means an event beyond the reasonable control of the Affected Party, which could not have been foreseen or avoided by the Affected Party acting and having acted as a reason­able and prudent party in the capacity of the Affected Party, that (a) results from any action or inaction by a Governmental Authority and (b) renders such Person wholly or partially unable at any time to (i) obtain sufficient access to the electrical distribution grid to permit the timely commissioning and testing of the Merchant Project, including the failure to comply with technical requirements of the ONS regarding frequency, (ii) market electrical energy produced by the Merchant Project or (iii) otherwise perform any of its obligations hereunder or under the GSA, Construction Contract, or O&M Agreement; provided, however, that such event giving rise to the claim of Political Force Majeure is not the result of the Affected Party failing to comply with all Laws promulgated by the Governmental Authority or otherwise the result of the fault, negligence, intentional acts or omissions of the Affected Party. "Pressure Specifications" means Natural Gas delivered at the Natural Gas Delivery Point within the minimum and maximum pressures specified in Exhibit "F".

Examples of Political Force Majeure in a sentence

  • Additionally, the Concessionaire, [but not [ ] in respect of [ ]], shall be excused from performance and shall not be in default in respect of any obligation under this Agreement to the extent that the failure to perform such obligation is due to a Political Force Majeure Event.

  • Indirect Political Force Majeure Events: For purposes of Clause 27.1, Indirect Political Event shall mean one or more of the following acts or events: a) an act of war (whether declared or undeclared), invasion, armed conflict or act of foreign enemy, blockade, embargo, riot, insurrection, terrorist or military action, which prevents collection of Fees by the Concessionaire for a period exceeding a continuous period of 7 (seven) days in an Accounting Year.

  • A Party shall give notice to the other Party when it ceases to be affected by the Political Force Majeure.

  • The Affected Party, to the extent rendered unable to perform its obligations or part of the obligation thereof under this Agreement as a consequence of the Force Majeure Event, shall be excused from performance of the obligations provided that the period shall not exceed 120 Days for a Non-Political Force Majeure Event and 90 Days for a Political Force Majeure Event from the date of issuance of the FM Notice.

  • The additional compensation shall cease as soon as the Company’s insurance premiums are no longer affected by the Political Force Majeure Event.

  • In the event the Concessionaire terminates this Agreement pursuant to Section 21.4 as a result of a Political Force Majeure Event, the Concessionaire shall have the right, but shall not be required to exercise the Buy-Out Option by delivering a Buy-Out Notice to the Grantor.

  • If the occurrence or effects of a Political Force Majeure Event affect the operation of all or part of the Facility and as a result the Reported Availability is at a level below the latest Reported Availability of the Facility, Reported Availability shall nonetheless be deemed for such period to be the latest Reported Availability for the purposes of calculation and payment of the Capacity Payment.

  • Direct Political Force Majeure Event: shall have the meaning provided in Clause 11.1 C.1.36.

Political Force Majeure means an exceptional event or circumstance:
Political Force Majeure has the meaning given in Clause 8; ‘Project’ means the design, financing, construction, commissioning, insurance, operation, maintenance and repair of the Facility and the performance of this Agreement; ‘Purchase Price’ means the price agreed between the Buyer and the Seller to be paid for Delivered Electricity that is specified in Schedule 2 of this Agreement; ‘Renewable Energy’ means Renewable non-fossil energy sources, those which are continually renewed through on-going natural processes, such as solar, wind, hydropower energy, geothermal energy, biomass, bio-gas and other organic waste fuel, which is used for electricity and (or) heat power generation;

  • Relevant Force Majeure Event means a Force Majeure Event in relation to which an Affected Party is claiming relief under this Clause 17; and

  • Force Majeure Event means an event beyond the reasonable control of any party including an outbreak of a serious disease or epidemic, or quarantine or other public health emergencies, fire, flood, earthquake, explosion or other casualty or accident or act of God, or war or other violence, strike, lock-out, labour dispute, acts of any governmental body, war, insurrection, sabotage, embargo, interruption of or delay in transportation, unavailability of or interruption or delay in telecommunications or inability to obtain raw materials, supplies or power.

  • Force Majeure means an event beyond the control of the supplier and not involving the supplier’s fault or negligence and not foreseeable. Such events may include, but is not restricted to, acts of the purchaser in its sovereign capacity, wars or revolutions, fires, floods, epidemics, quarantine restrictions and freight embargoes.

  • Force Majeure Events means acts of war, domestic and/or international terrorism, civil riots or rebellions, quarantines, embargoes and other similar unusual governmental actions, extraordinary elements of nature or acts of God.

  • Major political party also means a political party that maintains a party organization in the state, political subdivision, or precinct in question and that has presented at least 45 candidates for election to the office of state representative, 23 candidates for election to the office of state senator, four candidates for election to the office of representative in Congress, and one candidate for election to each of the following offices: governor, and lieutenant governor, attorney general, secretary of state, and state auditor, at the last preceding state general election for those offices.

  • Political activity means any activity in support of or in connection with any campaign for elective office or any political organization, but does not include activities (i) relating to the support or opposition of any executive, legislative, or administrative action, (ii) relating to collective bargaining, or (iii) that are otherwise in furtherance of the person's official duties.

  • Minor political party means a political party that has qualified as a minor political party

  • Political organization means a party, committee, association, fund, or other organization (whether or not incorporated) that is required to file a statement of organization with the State Board of Elections or a county clerk under Section 9-3 of the Election Code (10 ILCS 5/9-3), but only with regard to those activities that require filing with the State Board of Elections or a county clerk.

  • Political party means an organization of registered voters that has qualified to

  • Act of God means a cataclysmic phenomenon of nature, including earthquake, flood or cyclone. Rain, snow, wind, high water or any other natural phenomenon, which might reasonably have been anticipated from historical records of the general locality of the City, shall be deemed not to be acts of God;

  • Registered political party means an organization of voters that:

  • Force Majeure Delay means with respect to the Servicer, any cause or event which is beyond the control and not due to the negligence of the Servicer, which delays, prevents or prohibits such Person’s delivery of the reports required to be delivered or the performance of any other duty or obligation of the Servicer under the Indenture, as the case may be, including, without limitation, computer, electrical and mechanical failures, acts of God or the elements and fire; provided, that no such cause or event shall be deemed to be a Force Majeure Delay unless the Servicer shall have given the Indenture Trustee written notice thereof as soon as practicable after the beginning of such delay.

  • Critical Illness or “CI” means Diagnosis of any of the following Covered Conditions which occur directly as a result of illness, and first occur after the Effective Date of Insurance:

  • Force Majeure Delays means any actual delay in the construction of the Tenant Improvements, which is beyond the reasonable control of Landlord or Tenant, as the case may be, as described in Paragraph 33 of the Lease.

  • Indirect Political Event shall have the meaning set forth in Clause 21.3;

  • Force Majeure Period has the meaning specified in Section 13.1.

  • Event of Force Majeure means one of the following events:

  • Force Majeure Exception means any failure or delay in the performance of the Fund’s reporting obligation pursuant to Section 2.3 arising out of or caused, directly or indirectly, by circumstances beyond its reasonable control, including, without limitation, acts of God; earthquakes; flood; terrorism; wars and other military disturbances; sabotage; epidemics; riots; loss or malfunctions of utilities, computer (hardware or software) or communication services; accidents; acts of civil or military authority and governmental action. The Fund shall use commercially reasonable efforts to commence performance of its obligations during any of the foregoing circumstances.

  • Catastrophic illness or “injury” means an illness or injury that is expected to incapacitate the employee for an extended period of time, or that incapacitates a member of the employee’s family which incapacity requires the employee to take time off from work for an extended period of time to care for that family member, and taking extended time off work creates a financial hardship for the employee because he or she has exhausted all of his or her sick leave and other paid time off.

  • Political party committee means a political committee formed by a political party organization

  • Catastrophic Damage as used hereunder is major change or damage to In- cluded Timber on Sale Area, to Sale Area, to access to Sale Area, or a combination thereof:

  • Municipal Political Party Committee means a committee organized pursuant to N.J.S.A. 19:5-2.

  • Political sign means a sign advertising a candidate or candidates for public elective office, or a political party, or a sign urging a particular vote on a public issue decided by ballot.

  • Local political subdivision means a county, municipal corporation, township, conservancy district, soil and water conservation district, joint recreation district, park district, or other similar park authority.

  • Epidemic means a sudden development and rapid spreading of a contagious disease in a region where it developed in a simply endemic state or within a previously unscathed community.
