Prior Awards definition

Prior Awards means awards, if any, made to you under the 2013 Rayonier Advanced Materials Equity Incentive Award Program, 2014 Rayonier Advanced Materials Equity Incentive Program, 2015 Rayonier Advanced Materials Equity Incentive Program and any outstanding awards of options or restricted stock that are unvested as of the date of these Supplemental Terms, other than the 2016 Award.
Prior Awards means awards, if any, made to you under the 2013 Rayonier Inc. Equity Incentive Award Program, 2014 Rayonier Advanced Materials Equity Incentive Program, 2015 Rayonier Advanced Materials Equity Incentive Program, 2016 Rayonier Advanced Materials Equity Incentive Program, 2017 Rayonier Advanced Materials Equity Incentive Program, 2018 Rayonier Advanced Materials Equity Incentive Program, 2019 Rayonier Advanced Materials Equity Incentive Program and any outstanding awards of options or restricted stock that are unvested as of the date of these Supplemental Terms, other than the 2021 Award.
Prior Awards shall have the meaning as defined in the fifth Recital to this Agreement.

Examples of Prior Awards in a sentence

  • Specifically, your obligations and the available remedies described under any supplemental terms agreements relating to the Prior Awards will cease to have any effect after the date hereof and the terms hereof shall apply to the Prior Awards and any shares to which such supplemental terms applied.

  • The Employee agrees to provide a period of advance written notice to the Firm prior to the Employee’s Termination of Employment equal to (i) three months or (ii) any longer notice period required pursuant to any other agreement (other than an award agreement evidencing any Prior Awards) between the Employee and the Firm.

  • In addition, Common Stock covered by any unexercised portions of terminated Options or Prior Awards (including canceled Options or Prior Awards), or Prior Awards which are otherwise surrendered by the Holder may again be subject to new awards under this Plan.

  • The Employee acknowledges that the Restrictive Covenants set forth in this Appendix A shall supersede and are in full substitution for any and all prior restrictive covenants included in any award agreement evidencing any Prior Awards by which the Employee is bound, and this Paragraph (h) shall constitute a valid amendment to such award agreements.

  • Failure by Employee to provide such written notice shall cause the Revised Retirement Policy (as hereinafter defined) to apply with respect to the vesting of Prospective Awards, but such failure shall have no effect whatsoever on the Prior Awards, all of which shall continue to be subject to the Original Retirement Policy.

Prior Awards. The Company shall make a lump-sum cash payment to you equal to your base salary, 50 percent (or, if greater, the percentage of your maximum short-term bonus opportunity awarded for the year immediately preceding the year in which your employment terminates) of your maximum short-term bonus opportunity, and 100 percent of your long-term bonus opportunity for the remaining Term of Employment (as the Term of Employment is determined as of the date immediately preceding the date your employment terminates), reduced by any amounts payable to you under any Company-sponsored severance plan, program, policy, contract, account, or arrangement (excluding any amounts payable to you under Company-sponsored deferred compensation plans, such as the ESDP) during the remaining Term of Employment (as the Term of Employment is determined as of the date immediately preceding the date your employment terminates). For this purpose, your base salary shall be based on your base salary rate in effect immediately before your employment terminated; your annual maximum short-term bonus opportunity shall be equal to 200 percent of your annual base salary in effect immediately before your employment terminated; and your annual long-term bonus opportunity shall be equal to 500 percent of your annual base salary in effect immediately before your employment terminated. If your long-term bonus is subject to a performance target, it shall be assumed for this purpose that the target is met;
