Protected Term definition

Protected Term means the period commencing as of the date hereof and expiring as of the close of business on March 31, 2000; provided, however, that: (i) commencing on April 1, 1998 and each April 1 thereafter, the term of this Agreement will automatically be extended for an additional year unless, not later than December 31 of the immediately preceding year, the Company or Employee shall have given notice that it or Employee, as the case may be, does not wish to have the Protected Term extended; and (ii) except as otherwise provided in the last sentence of Section 12, if, prior to a Change in Control, Employee ceases for any reason to be an employee of the Company, thereupon without further action the Protected Term shall be deemed to have expired and Sections 8, 10, 11 and 14(a) and the last sentence of Section 12 of this Agreement and the portion of any other provision of this Agreement that incorporates such provisions will immediately terminate and be of no further effect. For purposes of this Section 1(p), Employee shall not be deemed to have ceased to be an employee of the Company by reason of the transfer of Employee's employment between or among HCR and the Company or any other Subsidiary.
Protected Term means the three year period commencing as of the date hereof and expiring as of the close of business on the third anniversary hereof; PROVIDED, HOWEVER, that: (i) the term of this Agreement will automatically be extended for successive one year periods unless, not later than 90 days prior to the expiration of the then applicable term either party shall have given notice that it does not wish to have the Protected Term extended; and (ii) except as otherwise provided in the last sentence of Section 12, if, prior to a Corporate Transaction, Employee ceases for any reason to be an employee of the Company, thereupon without further action the Protected Term shall be deemed to have expired and Sections 8, 10, 11 and 14(a) and the last sentence of Section 12 of this Agreement and the portion of any other provision of this Agreement that incorporates such provisions will immediately terminate and be of no further effect. For purposes of this Section l(r), Employee shall not be deemed to have ceased to be an employee of the Company by reason of the transfer of Employee's employment between or among HCR and the Company or any other Subsidiary.
Protected Term means the term commencing on the Closing Date and terminating on the third (3rd) anniversary of the Closing Date, except that the Protected Term shall immediately terminate in the event Buyer materially breaches, or otherwise fails to materially perform in accordance with the terms of this Agreement, the Promissory Note or, solely with respect to W. Xxxxxxxxxxx Xxxxx’x covenants hereunder (and not the covenants hereunder of the other Seller Members), the Employment Agreement, and Buyer fails to cure such breach or fails to perform within thirty (30) days after its receipt of notice thereof from the affected party, whether it be Seller or a Seller Member, which notice shall state with specificity the nature of the claim for breach or failure to perform; and

More Definitions of Protected Term

Protected Term means, solely with respect to a Stand-By Manufacturing Source, a period of time equal to: (a) five (5) years after the date of termination of this Agreement, if this Agreement is terminated before the first anniversary of the Effective Date; (b) four (4) years after the date of termination of this Agreement, if this Agreement is terminated on or after the first, but before the second, anniversary of the Effective Date; (c) three (3) years after the date of termination, if this Agreement is terminated on or after the second, but before the third, anniversary of the Effective Date; (d) two (2) years after the date of termination of this Agreement, if this Agreement is terminated on or after the third, but before the fourth, anniversary of the Effective Date; (e) one (1) year after the date of termination of this Agreement, if this Agreement is terminated on or after the fourth, but before the fifth, anniversary of the Effective Date; or (f) the earlier of seventeen (17) years or the Term of this Agreement, if this Agreement is terminated on or after the fifth anniversary of the Effective Date. "Q4 Day Schedule" shall mean the method of drug administration covered by U.S. Patent No. 5696153. Notwithstanding the foregoing, the Employee agrees to take all reasonable precautions to prevent any unauthorized use or disclosure of any information that may constitute Company confidential information to any parties other than the Government Agencies. The Employee further understands that “Protected Activity” does not include the disclosure of any Company attorney-client privileged communications. Any language in any other agreement between the Company and the Employee regarding the Employee’s right to engage in Protected Activity that conflicts with, or is contrary to, this paragraph is superseded by this Agreement. In addition, pursuant to the Defend Trade Secrets Act of 2016, the Employee is notified that an individual will not be held criminally or civilly liable under any federal or state trade secret law for the disclosure of a trade secret that (i) is made in confidence to a federal, state, or local government official (directly or indirectly) or to an attorney solely for the purpose of reporting or investigating a suspected violation of law, or (ii) is made in a complaint or other document filed in a lawsuit or other proceeding, if (and only if) such filing is made under seal. In addition, an individual who files a lawsuit for retaliation by an employer for reporting a suspected violation of law may disclose the trade secret to the individual’s attorney and use the trade secret information in the court proceeding, if the individual files any document containing the trade secret under seal and does not disclose the trade secret, except pursuant to court order.

  • Protected Information means PHI provided by CE to BA or created, maintained, received or transmitted by BA on CE’s behalf.

  • Protected Employee means any employee of the Company or an Affiliate who was employed by Company or an Affiliate at any time within six (6) months prior to the termination of Grantee’s employment for any reason or any earlier date of an alleged breach by Grantee of the restrictions in Section 17 hereof.

  • Qualifying Termination of Employment means a Participant’s Termination of Employment (i) by the Company without Cause or (ii) by the Participant with or without Good Reason or by reason of Retirement.

  • justifiable cause means: any failure or refusal to perform any of the duties pursuant to this Agreement or any breach of this Agreement by the Executive; Executive’s breach of any material written policies, rules or regulations which have been adopted by the Company; Executive’s repeated failure to perform his duties in a satisfactory manner; Executive’s performance of any act or his failure to act, as to which if Executive were prosecuted and convicted, a crime or offense involving money or property of the Company or its subsidiaries or affiliates, or a crime or offense constituting a felony in the jurisdiction involved, would have occurred; any unauthorized disclosure by Executive to any person, firm or corporation of any confidential information or trade secret of the Company or any of its subsidiaries or affiliates; any attempt by Executive to secure any personal profit in connection with the business of the Company or any of its subsidiaries and affiliates; or the engaging by Executive in any business other than the business of the Company and its subsidiaries and affiliates which interferes with the performance of his duties hereunder. Upon termination of Executive’s employment for justifiable cause, this Agreement shall terminate immediately and Executive shall not be entitled to any amounts or benefits hereunder other than such portion of Executive’s annual base salary and reimbursement of expenses pursuant to Section 5 hereof as have been accrued through the date of his termination of employment.

  • Involuntary Termination means a termination of your employment with the Company pursuant to either (i) a termination initiated by the Company without Cause, or (ii) your resignation for Good Reason, and provided in either case such termination constitutes a Separation from Service. An Involuntary Termination does not include any other termination of your employment, including a termination due to your death or disability.

  • Protected Employees means employees of the Company who were employed by the Company at any time within six (6) months prior to the Determination Date.
