Qualified Merger Jurisdiction definition

Qualified Merger Jurisdiction means any of (i) Argentina; (ii) the United States, any State thereof or the District of Columbia; (iii) any member state of the European Union; or (iv) any other nation that has an Investment Grade Rating on its sovereign debt rating from two or more Rating Agencies.
Qualified Merger Jurisdiction means any of (i) Argentina; (ii) the United States, any State thereof or the District of Columbia; or (iii) any country member of the Organization for Economic Co-operation and Development (OECD).
Qualified Merger Jurisdiction means (a) the United States of America, any State thereof or the District of Columbia; or (b) any other country (or political subdivision thereof) that is a member country of the European Union or of the Organization for Economic Co-operation and Development on the date hereof.

More Definitions of Qualified Merger Jurisdiction

Qualified Merger Jurisdiction has the meaning specified in Section 4.1(a). “Qualified Purchaser” means any Person (whether directly or indirectly through one or more of its subsidiaries or, in the case of a fund, one or more funds under management by the same fund manager) that (i) is experienced in majority ownership or operation of crackers using ethane as feedstock and integrated polyethylene plants and (ii) the Company has received a pro forma Ratings Affirmation with regard to the proposed transaction, considering such Person and the Company and the Company’s Subsidiaries as a consolidated entity.
Qualified Merger Jurisdiction means (i) Argentina, (ii) any country that participates in the European Union or the North American Free Trade Agreement (NAFTA), or Denmark, Sweden, Norway, Finland, Brazil, Chile, Japan, Russia or China and (iii) any other nation that has Investment Grade sovereign debt rating from two Rating Agencies. Tax Covenant The covenant set forth under “Description of the Notes—Covenants—Payments of taxes and other claims” in the accompanying Offering Memorandum shall be replaced, in its entirety, by the following: YPF will, and will cause each of its Significant Subsidiaries to, pay or discharge or cause to be paid or discharged, before the same shall become delinquent, (i) all taxes, assessments and governmental charges levied or imposed upon YPF or any of its Significant Subsidiaries, and (ii) all lawful claims for labor, materials and supplies which, if unpaid, might by law become a Lien upon the Property of YPF or the Property of any of its Significant Subsidiaries; provided that YPF will not be required to pay or discharge or cause to be paid or discharged any such tax, assessment, charge or claims where failure to do so would not, individually or in the aggregate, have a Material Adverse Effect on YPF and its Subsidiaries’ condition, financial or otherwise, earnings, operations or business, taken as a whole, or whose amount, applicability or validity is being contested in good faith by appropriate proceedings.
