Quarterly Reporting Package definition

Quarterly Reporting Package means the reporting package described on Exhibit III-B.

Quarterly Reporting Package. The items specified in Section 6.1(b) of the Common Agreement as being delivered quarterly under cover of a Quarterly Reporting Certificate.

Quarterly Reporting Package has the meaning set forth in Section 5.06(b).

• Materials required to be delivered pursuant to Section 5.06(a)(i) or (b)(i) (to the extent any such materials are included in materials otherwise filed with the SEC) shall be deemed to have been delivered hereunder upon such filing with the SEC on the date of such filing; provided that, the Borrower shall deliver electronic copies of such materials to the Administrative Agent concurrently with the delivery of the applicable Annual Reporting Package and Quarterly Reporting Package with respect thereto.

• Each time Financial Statements of the Borrower are delivered pursuant to Sections 6.1(b)(i) (as part of the Quarterly Reporting Package), or 6.1(c)(i) such Financial Statements shall be certified by a Financial Officer of the Borrower as having been prepared in accordance with GAAP on a consistent basis and as fairly presenting in all material respects the financial condition of the Borrower as of the date thereof and the results of operations and cash flows of the Borrower for the periods presented.

• Matters requiring certification of the Borrower pursuant to this Section 4.3.8(a) may be included in the Quarterly Reporting Certificate substantially in the form of Exhibit L and otherwise delivered as part of the Quarterly Reporting Package pursuant to Section 6.1.5 hereof.

• The Loan Servicer shall have received the most recent Quarterly Reporting Package (if any).

More Definitions of Quarterly Reporting Package

Quarterly Reporting Package means a quarterly reporting package that includes consolidated unaudited financial statements of REIT, presented fairly in accordance with GAAP or, if such financial statements being delivered have been filed with the SEC pursuant to the requirements of the 1934 Act, or similar state securities laws, presented in accordance with applicable statutory and/or regulatory requirements and delivered to Buyer within the same time frame as are required to be filed in accordance with such applicable statutory or regulatory requirements, in either case accompanied by a compliance certificate, including, with respect to the REIT, a statement of operations and a statement of changes in cash flows for such quarter and statement of net assets as of the end of such quarter and evidencing financial covenant compliance, and certified as being true and correct by the CFO, CEO or Treasurer of REIT (it being understood that such REIT financial statements shall include QRS Seller’s, TRS Seller’s, Guarantor’s and Pledgor’s financial information, as consolidated into REIT’s financial statements).

Quarterly Reporting Package. Means the reporting package described on Exhibit H hereto.

Quarterly Reporting Package means the unaudited management accounts, consisting of a balance sheet as at, and income statement for each quarterly period ending on 31 March, 30 June, 30 September and 31 December each year for each Company prepared in accordance with IFRS, together with the following schedules:
