Research Funds definition

Research Funds means the funds which JST provides to the Research Institute according to the agreed Research Budget in the Agreement for the performance of the Collaborative Research and confirmed by JST in accordance with the terms of this Agreement.
Research Funds means the Available Funds, less (i) all general and administrative expenses including, without limitation, those paid or payable pursuant to the Development Agreement or the Services Agreement, and the reasonable out-of-pocket expenses of ▇▇▇▇▇▇ Corp. II directors and reasonable compensation for ▇▇▇▇▇▇ Corp. II's independent directors, less (ii) any amounts paid to DURA under the Development Agreement or the Services Agreement, less (iii) any costs and expenses incurred in the defense or settlement of any action or claim or in respect of a judgment thereon, and less (iv) One Million Dollars ($1,000,000) to be retained by ▇▇▇▇▇▇ Corp. II as working capital in the event DURA does not exercise the Purchase Option. SCHEDULE 1.1
Research Funds shall have the meaning ascribed to it in section 2.2.

Examples of Research Funds in a sentence

  • The Research Institute shall prevent and take measures against improper conduct such as Misappropriation and Misconduct, including the use of Research Funds for a purpose other than the Collaborative Research and acquisition of the Research Funds through fraudulent means.

  • If the Misappropriation or Misconduct is determined, JST shall have a right to suspend or terminate the Collaborative Research, order the Research Institute to return all or part of the Research Funds, and to announce the details of such Misappropriation or Misconduct officially.

  • No portion of the Research Funds for certain Fiscal Year shall be applied for any costs and expenses spent in a different Fiscal Year.

  • Any loss of value, taxes, commissions, or other expenses incurred in the transfer of the Research Funds or in the conversion of currency shall not be reimbursed by JST to the Research Institute.

  • With respect to any expense which is not covered by Direct Costs or Indirect Costs or is not specifically described in Appendix 5, the Research Institute shall obtain the written approval of JST before using any of the Research Funds for such expense.


More Definitions of Research Funds

Research Funds means any funds designated to be used to pay expenses related to the conduct of Research, including funds directed to UBC through third party donations, grants, awards and other contractual funding arrangements as well as funding from internal UBC sources.
Research Funds means funds allocated by UBC to the conduct of research at UBC.

Research Funds means the FTE funding being paid by Lilly to Phytera pursuant to Section 2.7 herein.
Research Funds means any funds paid or credited to the University by Ceres under this Agreement as further specified in the Research Budget.
