FTE Funding. (a) Galderma shall fund such number of NovaBay FTEs with respect to the research and development of Collaboration Products in the Field as Galderma may propose and the Coordination Committee shall agree from time to time (with neither Party having the final say with respect thereto, provided that Galderma shall agree to fund and the Coordination Committee shall agree to an average of [***] NovaBay FTEs during each of the first [***] years of the Continuation Period, for a minimum of [***] NovaBay FTEs during such [***] year period), and the allocation of such NovaBay FTEs shall be determined by the Coordination Committee; provided that unless otherwise agreed, (i) [***] of such funding shall be directed to activities under the Development Program and [***] directed to activities related to research activities outside of the Development Program, and (ii) the activities of any NovaBay FTEs funded pursuant to this Section 8.3.1(a) shall be integrated into the Development Plans. For clarity, Galderma shall have no obligation to propose any NovaBay FTEs for any particular period. Effective beginning with the calendar year 2010, the FTE Rate shall increase no more than once annually on January 1 of each year by the percentage increase, if any, in (A) salaries as reported for the current fiscal year by Xxxxxxx Surveys™ Quarterly Salary Increase Trend Survey (QSIT)--Biotechnology Edition Base Salary Increase Analysis for Exempt Employees (Current Fiscal Year Actual (Undiluted) Overall Increases Combined), or (B) the Consumer Price Index, for All Urban Consumers for the San Francisco Bay Area, as published by the U.S. Department of Labor, Bureau of Labor Statistics, in each case whichever increase is higher since the last such increase under this Section 8.3.1(a) (or in the case of the first such increase, the Effective Date) and such increase shall be effective on a going-forward basis for the then current and all subsequent Development Plans hereunder until further modified under this Section 8.3.1(a). Notwithstanding anything herein to the contrary and except for those activities of NovaBay pursuant to the Impetigo Plan for the Impetigo POC, NovaBay shall not have any obligation to perform any Development activities under this Agreement or incur any expenses with respect thereto if such activities are not funded by Galderma under this Section 8.3.1. FTE Funding. For the conduct of the RESEARCH PROGRAM by KOSAN, RWJPRI shall pay KOSAN RESEARCH FUNDING on an annualized FTE basis (FTE-years). FTE Funding. Momenta will provide [**] FTEs during the [**] period commencing October 1, 2003 under this Agreement and [**] FTEs during the following [**] period under this Agreement, devoted exclusively to efforts on behalf and in furtherance of the Collaborative Program. As compensation for the provision of such FTEs, BCWI shall pay Momenta, effective as of October 1, 2003, at the FTE Rate. Additional FTEs, as mutually agreed to in the applicable Annual Collaboration Plan, will be provided by Momenta, and paid for by BCWI (subject to the provisions of Section 4.11.8) at the FTE Rate ("ADDITIONAL FTE'S"). Within thirty (30) days after the end of each Quarter during such time periods, Momenta shall provide to BCWI a report of the number of FTEs actually devoted by Momenta to the Collaborative Program during such just-ended Quarter and payments will be due by BCWI within forty-five (45) days after receipt of such report, based on the number of FTEs actually committed by Momenta to the Collaborative Program during such Quarter at the FTE Rate, PRO RATA for such actual number of FTEs. Momenta shall track the number of FTEs devoted to the Collaborative Program on a monthly basis in accordance with Momenta's standard record-keeping practices (including without limitation the use of at a minimum monthly timesheets) (the "FTE RECORDS").
FTE Funding. Roche will be responsible for funding the FTEs in accordance with the R&D Plans and budgets at the FTE Rate for performance of the research and other activities for which FMI is responsible under the R&D Plans and for the database queries. Each individual included in the funded FTEs shall possess a bachelor’s degree or higher in a relevant scientific discipline and shall be experienced in the type of research or other activities to be performed by such individual under this agreement.
FTE Funding. Each Party shall assume responsibility for its own costs and expenses for its conduct of activities under the Research Program with the sole exception that AZ shall fund, quarterly in advance, during the Research Term (whether or not the Pilot License Term has begun), [*] ([*]) of the [*] ([*]) FTEs to be committed by CK for the performance of the Research Program, at the FTE rate set forth below. In total, subject to any Additional Items, the annual FTE funding to be provided by AZ to CK under this Section 6.1.1 shall not exceed US$[*], unless otherwise separately agreed by the Parties in writing.
FTE Funding. The FTE funding to be provided by Xxxxx shall be based on the FTE Rate and actual hours worked by Zymeworks FTEs on the Research Program, including for purposes of any needed design cycle iterations and any initial rounds of cloning and expression work in which Zymeworks participates, as supported by approved time sheets for such FTEs coded to the Research Program after review and approval by Xxxxx, such approval not to be unreasonably withheld. For clarity, Xxxxx shall provide Zymeworks funding for all Zymeworks FTEs engaged in the Research Program; provided that Xxxxx shall not be responsible for funding more than three (3) FTEs in any given month during the Research Program Term, unless otherwise agreed by Xxxxx in writing (such agreement not to be unreasonably withheld).
FTE Funding. The Partnership agrees to pay ICOS and/or TBC, as applicable, for R & D Services rendered on behalf of the Partnership in accordance with the Research Program and directed by the Product Team or as otherwise requested by the Partnership. Except as otherwise provided in this Article 4, payment by the Partnership hereunder shall be based on the FTE rate set forth in Section 1.9.
