Scheduled Available Time definition

Scheduled Available Time means 24 hours a day, 7 days a week.
Scheduled Available Time shall be defined as twenty-four hours a day, seven days a week excluding Scheduled Downtime and Recurring Downtime as defined in section B.4.2.
Scheduled Available Time shall be defined as twenty-four hours-a-day, seven days-a-week, excluding: (1) scheduled maintenance downtime of two (2) hours per week, which shall only be schedule on Saturday and Sunday; (2) maintenance downtime for specific critical Software issues. InsynQ shall contact SAMPLE COMPANY at least 24 hours in advance of the need for such downtime, to schedule a mutually agreeable time to perform such maintenance; and (3) any downtime due to Software defects, or caused by other forces beyond the immediate control of InsynQ.

  • B.4.1 Guaranteed Up Times Upon acceptance, the services will be available to Customer for 99.9% of all Scheduled Available Time calculated on a monthly basis and excluding Scheduled and Recurring Downtime as defined below, or circumstances beyond reasonable and unforeseen control.

  • Downtime refers to any periods within the Scheduled Available Time (excluding Scheduled Downtime and Recurring Downtime) during which the applications, systems and networks used to offer the Box Service are unavailable because of any outage that is unplanned.

This service level begins upon completion of the Stabilization Period. In the event of Go Live of new functionality, an Upgrade, or significant change in the Architecture of the Application Environment, this service level will be suspended temporarily subject to the applicable Stabilization Period. For the purposes of this service level, managed network includes the Service Provider data center network. VPN and other Internet connectivity, and Client managed network connectivity, are excluded from the definition of managed network and this service level.

Scheduled Available Time means twenty-four hours a day, seven days a week, commencing as of the Completion Date, and thereafter during the Term excluding: (1) scheduled maintenance downtime of 2 hours per week, plus 12 hours per quarter for maintenance updates, etc; (2) maintenance downtime for specific critical Software issues; and (3) any downtime due to software defects or due to circumstances caused by Customer, or due to events or interruptions caused by other forces beyond the immediate control of RoseASP.

Related to Scheduled Available Time

  • Available Date means the date upon which Licensor notifies MSDH that the Software may be accessed on the Licensor’s ASP server and MSDH may begin acceptance testing.

  • Maximum Available Minutes is the sum of all Deployment Minutes across all Apps deployed by Customer in a given Azure subscription during a billing month.

  • Scheduled Reference Date means any original date that, but for the occurrence of an event causing a Disrupted Day, would have been a Reference Date.

  • Modified Restructuring Maturity Limitation Date means with respect to a Reference Obligation, the date that is the later of (x) the Scheduled Maturity Date of the Notes and (y) 60 months following the Restructuring Date in the case of a Restructured Bond or Loan, or 30 months following the Restructuring Date in the case of all other Reference Obligations.

  • Financial Statement Date has the meaning set forth in Section 4.05 hereof.

  • Total Available Amount With respect to any Distribution Date, the sum of the Available Interest and the Available Principal for such Distribution Date and the amount of all cash or other immediately available funds on deposit in the Reserve Account immediately prior to such Distribution Date.

  • Quarterly Excess Available Funds Percentage means, with respect to the March 2008 Transfer Date and each Transfer Date thereafter, the percentage equivalent of a fraction the numerator of which is the sum of the Excess Available Funds Percentages with respect to the immediately preceding three Monthly Periods and the denominator of which is three.

  • Capitalization Date has the meaning set forth in Section 3.2(a).

  • Required Availability means Excess Availability and unrestricted cash and Cash Equivalents in an amount of not less than $5,000,000.

  • Reference Balance Sheet Date is defined in Section 3.5.

  • Anticipated State average revenue availability per student means the sum of all anticipated total county revenue availability divided by the average daily membership for the State.

  • Excess Availability means, as of any date of determination, the amount equal to Availability minus the aggregate amount, if any, of all trade payables of Borrower and its Subsidiaries aged in excess of historical levels with respect thereto and all book overdrafts of Borrower and its Subsidiaries in excess of historical practices with respect thereto, in each case as determined by Agent in its Permitted Discretion.

  • Available Liquidity means on any date, the sum of (i) the excess, if any, of (x) the amount of all Revolving Credit Commitments of each Lender that is not a Defaulting Lender on such date over (y) the aggregate Revolving Credit Exposure on such date plus (ii) the aggregate amount of unrestricted cash and Permitted Investments of the Company and its Restricted Subsidiaries on such date.

  • Reference Balance Sheet shall have the meaning set forth in Section 3.06(a).

  • Original Maturity Date means the date on which the bond reaches the end of the term for which it was initially offered and, unless further extended, ceases to earn interest.

  • Scheduled Unavailability Date has the meaning specified in Section 3.03(c).

  • Collateral Available Funds means with respect to any Distribution Date, the Collateral Floating Percentage of Reallocated Investor Finance Charge Collections with respect to the preceding Monthly Period.

  • Fiscal Quarters means the period from January 1 to March 31, April 1 to June 30, July 1 to September 30 and October 1 to December 31 of the applicable year.

  • Excess Available Funds Percentage means, with respect to any Transfer Date, the amount, if any, by which the Portfolio Yield for the preceding Monthly Period exceeds the Base Rate for such Monthly Period.
