Seller Funds definition

Seller Funds means all checks, drafts, instruments, cash and other items that, in each case, are not Collections, and that at any time are received for deposit into a Seller Account.
Seller Funds has the meaning given in Section 9.4.3.
Seller Funds has the meaning given to such term in Section 7.3 of this Agreement.

Examples of Seller Funds in a sentence

  • Notwithstanding anything herein to the contrary, once any funds on deposit in the Collection Accounts have been reconciled with the books and records of the Sellers and determined to be Seller Funds, the Seller Representative or any applicable Seller shall within two (2) Business Days of such reconciliation, withdraw any and all such Seller Funds from the Collection Accounts (for further distribution to the applicable Seller).

  • Purchaser hereby designates Seller as its true and lawful attorney-in-fact, with full power of substitution, to execute or endorse for the benefit of Seller any checks, notes or other documents received by Purchaser in connection with the Seller Funds.

  • The trial court granted the motion, holding that defendant was immune from any tort claims as the state and a governmental agency and that, if an agreement was reached between plaintiffs and defendant, it was void because defendant lacked any authority to enter into the agreement.

  • The Purchaser and the Seller Funds each hereby waives trial by jury in any action brought on or with respect to this letter agreement.

  • If more than one payment is required to be made hereunder, Buyer may in its sole discretion, retain up to 10% of any or all installments until completion of the performance due hereunder, at which time the retained sums, less any sums deducted as a set-off or recoupment will be paid to Seller.

  • If Seller gives you oral or written instructions to do so, you shall invest such Seller Funds in treasury bills or treasury backed repurchase agreements (or such other short-term investment as may be authorized by Seller).

  • In consideration of the undertakings of each the Seller Funds herein, Purchaser shall pay to each Seller Fund on May 28, 2009 (the “Initial Closing Date”) an upfront fee (“Upfront Fee”) equal to the Upfront Fee designated next to such Seller Fund’s counterpart signature below, it being understood that the aggregate amount of all such Upfront Fees shall be $3,500,000 and such Upfront Fees shall be non-refundable except as expressly set forth in the last paragraph of Section 13 hereof.


More Definitions of Seller Funds

Seller Funds means, collectively, the Fidelity Funds, the Wayzata Funds and Jefferies High Yield Trading, LLC;
Seller Funds means all checks, drafts, instruments, cash and other items that, in each case, are not Collections, and that at any time are received for deposit into a Seller Account. “Seller Representative” as defined in Section 2.5. “Servicer Replacement Event” means any of the following: (a) the failure by the Seller Representative to issue an Invoice for an Eligible Unbilled Receivable in accordance with the terms of Section 2.9; (b) the failure by the Seller Representative to submit a Servicing Report on any Reconciliation Date pursuant to the terms of this Agreement; (c) the failure of a Seller to pay any amount due hereunder and such failure is not cured within five Business Days of the date on which the same shall be due and payable; (d) the failure of the Administrative Agent to have a first priority security interest in any Collection Account; (e) the failure by a Seller to comply with any covenants set forth in Section 4.3, Section 5.1, Section 5.2, Section 6.1 and Section 10.1, where such failure is not cured within fifteen (15) days after the earlier to occur of (i) written notice thereof having been given to such Seller by the Administrative Agent or any Purchaser or (ii) actual knowledge thereof by such Seller of such failure; (f) the failure by a Seller to comply with any covenant in this Agreement not covered by clause (a), (b), (c), (d) or (e) above , where such failure is not cured within thirty days after the earlier to occur of (i) written notice thereof having been given to such Seller by the Administrative Agent or any Purchaser or (ii) actual knowledge thereof by such Seller of such failure; \
Seller Funds means Oaktree Sellers.
Seller Funds means Wynnchurch Capital Partners III, L.P., Comvest U.S. Pipe Holdings, LLC, Ocean Avenue Special Situations Fund, L.P., Ocean Avenue Fund II-A, L.P., and their affiliated funds.

Related to Seller Funds

  • Sellers has the meaning set forth in the preamble.

  • Seller’s Interest means, at any time, a “seller’s interest” as defined in, and calculated in accordance with, Regulation RR.

  • Seller Notes means any promissory note or notes issued by the Borrower or a Restricted Subsidiary of the Borrower in respect of any acquisition permitted hereunder as consideration in connection with such acquisition, but that is not in the nature of an earn-out obligation or similar deferred or contingent obligation.

  • Buyer Parties means Buyer, Owner, the Lenders and each of their Affiliates and all of their respective directors, officers, agents, advisors, engineers, contractors, consultants, representatives, assigns, employees and any other Person acting on behalf of any of them or in representation, interest, benefit thereto.

  • Transferred Assets means the assets, rights and properties of the Sellers that the Purchasers shall acquire as of the Closing.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Seller’s Closing Documents as defined in Section 3.2(a).

  • Purchased Items means those certain Products and Services (as defined herein) that are purchased by Customer and provided by Seller hereunder.
