Services Materials definition

Services Materials means (a) the processes, know-how, proprietary information and methodologies, document templates, and project tools including, but not limited to, best practice guides and reference architecture materials; and (b) utilities, connectors, scripts, tools, implementation code related to Hortonworks Products, and other software (and any updates thereto) that, in each case, are used by Hortonworks to deliver the Services or Support to Ordering Activity.

Services Materials means any and all materials provided to Customer in the course of the Professional Services.

• Subject to the payment of the applicable fees, Confluent grants to Customer a limited, non-exclusive, non-sublicensable, non-transferable (except as expressly stated otherwise in the Agreement) license to use the Services Materials or Course Materials (as applicable) solely in connection with Customer’s use of Confluent Platform, Confluent Software, or Cloud Service for Customer’s own business operations.

• Except for the license granted to Customer in the following sentence, Customer acknowledges and agrees that Confluent or its licensors own and shall retain all rights, title and interest, including but not limited to all patent, copyright, trade secret, know-how, design rights, trademark, and other intellectual property rights, in and to the Services Materials and Course Materials, and any changes and other modifications thereto.

• Consultant shall be compensated solely in the form of payments for the Services, Materials, Travel and Living Expenses, and Reimbursables expenses which shall be made as specified above, however, Consultant shall not provide Services and/or Materials, incur Travel and Living Expenses, or purchase Reimbursable(s) past the point at which the total of such charges, if invoiced to the Judicial Council in accordance with this Agreement, would exceed the Time and Materials Price applicable to that Work Order.

• Notwithstanding any failure to so designate them, the Services Materials and Course Materials shall be Confluent’s Confidential Information.
