Settlement Cap definition

Settlement Cap means the amount of $2,350,000.
Settlement Cap means Eleven Million Five-Hundred Thousand Dollars and 00/100 ($11,500,000.00), which shall be the maximum amount of money that Defendants shall be obligated to pay for benefit of the Settlement Class, inclusive of all Settlement Shares to Settlement Class Members, all Settlement Administration Costs, any Fee Award and Service Awards, and any other costs, expenses, and fees associated with the Settlement pursuant to the terms set forth in this Agreement. The Settlement Cap, to the extent funded, will be funded solely by SmileDirectClub, LLC on behalf of Defendants. Defendants do not need to create a separate, segregated fund, and shall not be obligated to pay any monies until such times as set forth in this Agreement. Any monies from the Settlement Cap not paid in Aggregate Fees, Costs, and Expenses and Total Class Member Benefits Payout shall be retained by Defendants and shall not otherwise be considered “Residual Funds” under 735 ILCS 5/2-807
Settlement Cap means the amount of CDN $325,000.00, inclusive of all Class Counsel Fees and Expenses, Claim Administration fees with any applicable taxes, Pre-Approval Notice costs, Award to the Representative Plaintiff, all valid Claims and all amounts that may be due to the Fonds d’aide aux recours collectifs;

Related to Settlement Cap

  • Settlement Cycle means the period of Clearance System Business Days following a transaction on the Relevant Exchange in the Underlying, during which period settlement will customarily take place according to the rules of such Relevant Exchange.

  • Payment Cap For each Mortgage Loan, the percentage limit set forth in the related Mortgage Note concerning the maximum permitted increase in a monthly payment.

  • Settlement Amount means, with respect to a party and any Early Termination Date, the sum of: --

  • Settlement Payment means the transfer, or contractual undertaking (including by automated clearing house transaction) to effect a transfer, of cash or other property to effect a Settlement.

  • Maximum Settlement Amount means $500,000,000 as amended or modified in accordance with Appendix E.

  • Daily Settlement Amount for each of the 40 consecutive Trading Days during the Observation Period, shall consist of:

  • Settlement Unit means each hour in a day divided into hour-long periods starting at 00:00 on such day.

  • Settlement Classes means all Persons included in the Electrolytic Settlement Classes and the Film Settlement Classes.

  • Settlement Interval has the meaning set forth in the CAISO Tariff.

  • Earn-Out Payment has the meaning set forth in Section 2.5(a).

  • Step-Down Amount means, with respect to any Distribution Date, the excess, if any, of (x) the Required Pro Forma Note Balance over (y) the Pro Forma Note Balance on such Distribution Date, calculated for this purpose only without deduction for any Step-Down Amount (i.e., assuming that the entire amount described in clause (x) of the definition of “Principal Distributable Amount” is distributed as principal on the Notes); provided, however, that the Step-Down Amount in no event may exceed the amount that would reduce the positive difference, if any, of (i) the Pool Balance minus (ii) the Pro Forma Note Balance, to an amount less than 0.50% of the initial aggregate principal balance of the Receivables.

  • Settlement Class Member means a member of a Settlement Class.

  • Settlement Value means the amount which the holder of a Contract may receive for a Contract held until Expiration. The Settlement Value of a Binary Contract is $100. The Settlement Value of a Variable Payout Contract is determined as described in the definitions of Long and Short Variable Payout Contracts.

  • Adjustment Escrow Amount means $1,000,000.

  • Earnout Payment has the meaning set forth in Section 2.3(b).

  • Settlement Fund means the Settlement Amount plus any and all interest earned thereon.

  • Resettlement Plan or “RP” means the resettlement plan for the Project, including any update thereto, prepared and submitted by the Borrower and cleared by ADB;

  • Post-Closing Adjustment Amount has the meaning set forth in Section 2.04(c).
