Spinco Options definition

Spinco Options means share purchase options to be issued pursuant to the SpinCo Stock Option Plan;

Spinco Options means share purchase options issued pursuant to the Spinco Stock Option Plan, including the Spinco Options pursuant to Section 3.1(d) of this Plan of Arrangement;

Spinco Options means the stock options of Spinco that will be granted to Former Chemesis Optionholders pursuant to the Arrangement and will be exercisable for Spinco Common Shares pursuant to the Spinco Plan;

Examples of Spinco Options in a sentence

• Except as described herein, all other terms of the Spinco Options and the Adjusted Liberty Ventures Options (including the vesting terms thereof) will, in all material respects, be the same as those of the corresponding Outstanding Liberty Ventures Options; provided, that the terms and conditions of exercise of the Spinco Options shall in any event be determined in a manner consistent with Section 409A of the Code.

• The valuation and determination of the number of Spinco Options and Supplier Options will be made in the same manner as described in Section 6.1(b)(i).

• The term, vesting and other terms of the Spinco Options will be the same as the terms of the current Supplier Options.

• Spinco Options held by Spinco Employees that have not fully vested or have not been exercised or forfeited shall remain in effect and continue to vest following the Distribution Date based on the optionee’s service with the Spinco Group.

• Effective as of the Distribution Date, Spinco Options shall become subject to the terms and conditions of the Spinco Stock Plan, which shall incorporate such options, and the individual agreements associated with such awards.
