SVT Options definition

SVT Options means the outstanding options to purchase SVT Shares granted under the SVT Option Plan;
SVT Options means the outstanding options to purchase SVT Common Shares granted pursuant to the SVT Option Plan.
SVT Options means the outstanding options of SVT and rights to acquire SVT Shares, including any further options issued from time to time prior to the Effective Date, prior to the Business Combination, as further described in “Options to Purchase Securities”;

Examples of SVT Options in a sentence

  • All SVT Shares that may be issued pursuant to the exercise of outstanding SVT Options will, when issued in accordance with the terms of such SVT Options, be duly authorized, validly issued, fully-paid and non-assessable and are not and will not be subject to or issued in violation of any pre-emptive rights.

  • The Parties shall cause the Depository to deduct and withhold from all distributions or payments otherwise payable to any former shareholder or member of a Party, or former holder of SVT Options or Nevada Holdco Replacement Options (an “Affected Person”) any amount required to be deducted and withheld with respect to such payment under the Tax Act, the Code or any provision of any applicable Law, in each case, as amended (the “Withholding Obligations”).

  • As at the date of this Agreement there are: (A) 254,358,411 SVT Shares validly issued and outstanding as fully-paid and non-assessable shares of SVT; (B) outstanding SVT Options providing for the issuance of 5,000,000 SVT Shares upon the exercise thereof; and (C) outstanding SVT Warrants providing for the issuance of 17,993,268 SVT Shares upon the exercise thereof.

  • The terms of the SVT Options and SVT Warrants (including exercise price) are disclosed in Schedule “C”, Section (g)(i) to the SVT Disclosure Letter.

  • In no event shall any holder of Nevada Holdco Class A Shares, SVT Shares, SVT Options, SVT Warrants, Fxxxx Common Shares or Fxxxx Class A Shares, be entitled to a fractional security of the Resulting Issuer.

  • However, following completion of the Business Combination, certain SVT Warrants and SVT Options will be exchanged for Issuer Warrants and Issuer Options, respectively.

Related to SVT Options

  • Parent Options means options or other rights to purchase shares of Parent Common Stock issued by Parent.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Options means any rights, warrants or options to subscribe for or purchase shares of Common Stock or Convertible Securities.

  • Replacement Options has the meaning ascribed thereto in Section 1.1 of the Plan of Arrangement;

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Stock Options means the collective reference to "Incentive Stock Options" and "Other Stock Options".

  • Company Stock Options shall have the meaning given to such term in Section 3.3(a) hereof.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Parent Option means any option to purchase Parent Common Stock which was granted pursuant to a Parent Option Plan.

  • SARS means the South African Revenue Service.

  • Investment Options means the investment options, as determined from time to time by the Committee, used to credit earnings, gains and losses on Account balances.

  • Option Plans has the meaning set forth in Section 2.6 below.

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Company Stock Option Plans shall have the meaning set forth in Section 3.07(a).

  • Share Appreciation Right means the right pursuant to an Award granted under Section 8 below to receive an amount equal to the excess, if any, of (i) the aggregate Fair Market Value, as of the date such Award or portion thereof is surrendered, of the Shares covered by such Award or such portion thereof, over (ii) the aggregate Exercise Price of such Award or such portion thereof.

  • Company Options means any options to purchase shares of Company Common Stock, whether granted pursuant to any of the Company Stock Plans or otherwise.

  • Stock Index Option means an exchange traded option entitling the holder, upon timely exercise, to receive an amount of cash determined by reference to the difference between the exercise price and the value of the index on the date of exercise.

  • Stock Option Plans means any stock option plan now or hereafter adopted by the Partnership or the General Partner.

  • CONCURRENT STOCK APPRECIATION RIGHT or "CONCURRENT RIGHT" means a right granted pursuant to subsection 8(b)(2) of the Plan.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Tandem Stock Appreciation Right means the right to surrender to the Company all (or a portion) of a Stock Option in exchange for an amount in cash and/or stock equal to the difference between (i) the Fair Market Value on the date such Stock Option (or such portion thereof) is surrendered, of the Common Stock covered by such Stock Option (or such portion thereof), and (ii) the aggregate exercise price of such Stock Option (or such portion thereof).

  • Non-Tandem Stock Appreciation Right means the right to receive an amount in cash and/or stock equal to the difference between (x) the Fair Market Value of a share of Common Stock on the date such right is exercised, and (y) the aggregate exercise price of such right, otherwise than on surrender of a Stock Option.

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • Compensation Options has the meaning ascribed in Section 8.1.
