Target Intellectual Property definition

Target Intellectual Property means all Intellectual Property that is owned or held for use by the Target.
Target Intellectual Property has the meaning set forth in Section 3.16.
Target Intellectual Property means all of the following: (A) trademarks and service marks, trade dress, product configurations, trade names and other indications of origin, applications or registrations in any jurisdiction pertaining to the foregoing and all goodwill associated therewith; (B) inventions, discoveries, improvements, ideas, know-how, formula methodology, processes, technology, software (including password unprotected interpretive code or source code, object code, development documentation, programming tools, drawings, specifications and data) and applications and patents in any jurisdiction pertaining to the foregoing, including re-issues, continuations, divisions, continuations-in-part, renewals or extensions; (C) trade secrets, including confidential information and the right in any jurisdiction to limit the use or disclosure thereof; (D) copyrights in writings, designs software, mask works or other works, applications or registrations in any jurisdiction for the foregoing and all moral rights related thereto; (E) database rights; (F) internet websites, domain names and applications and registrations pertaining thereto and all intellectual property used in connection with or contained in all versions of the Target’s Web sites; (G) rights under all agreements relating to the foregoing; (H) books and records pertaining to the foregoing; and (I) claims or causes of action arising out of or related to past, present or future infringement or misappropriation of the foregoing.

  • Target has disclosed a correct, current, and complete list of: (i) all Target IP Registrations (ii) all unregistered Trademarks included in the Target Intellectual Property; and (iii) all proprietary Software of the Target; and (iv) all other Target Intellectual Property used or held for use in the Target's business as currently conducted and as proposed to be conducted.

  • No Target Intellectual Property (excluding Intellectual Property licensed to Target only on a nonexclusive basis) was conceived or developed directly or indirectly with or pursuant to government funding or a government contract.

  • To the best of its knowledge, no party is infringing the Target Intellectual Property.

  • Each Target Intellectual Property Contract: (i) is valid and binding on the Target or a Target Subsidiary, as the case may be, and, to the Target’s knowledge, the counterparties thereto, and is in full force and effect and (ii) upon consummation of the transactions contemplated hereby shall continue in full force and effect without penalty or other adverse consequence.

  • There is no claim, suit, action or proceeding pending or, to the knowledge of the Target, threatened against the Target or any Target Subsidiary: (i) alleging any such conflict or infringement with any third party’s proprietary rights; or (ii) challenging the Target’s or any Target Subsidiary’s ownership or use of, or the validity or enforceability of any Target Intellectual Property.


More Definitions of Target Intellectual Property

Target Intellectual Property means all Owned Intellectual Property and all Licensed Intellectual Property.
Target Intellectual Property means all Intellectual Property that has been, is, or is proposed to be owned by Target, or used, exercised, or exploited, or otherwise necessary for, Target's business as currently conducted or as proposed to be conducted.
Target Intellectual Property means any Intellectual Property that is owned by, or exclusively licensed to, Target or any of its subsidiaries.
Target Intellectual Property means any Intellectual Property that is owned by, or licensed to, Target or any of its Subsidiaries other than Intellectual Property widely available through regular commercial distribution channels at a cost not exceeding Two Thousand Dollars ($2,000) on standard terms and conditions.
Target Intellectual Property means all Intellectual Property owned or used by the Target Companies and that is necessary or used in the conduct of the Business as it is presently conducted or proposed to be conducted as contemplated as of the Closing Date, and all applications therefor and all goodwill connected therewith, including all licenses and all like rights used by or granted to the Target Companies in connection with the Business and all rights to register or otherwise apply for the protection of any of the foregoing.
Target Intellectual Property means material registered trademarks, service marks, copyrights, patents and other Intellectual Property (other than off-the-shelf software programs that have not been customized for use by Target Companies) owned or licensed by Target Companies as of the date hereof.
