Technology Deliverables definition

Technology Deliverables means all information and Technology whether pre-existing or generated as a result of this Agreement which has been or may be furnished or made available by GE Aviation to ADGTJV, other than the Engineering Tools.

Technology Deliverables means the Transferred Technology and the Transferred Third Party Technology;

Technology Deliverables means all information and Technology whether pre-existing or generated as a result of this Agreement which has been or may be furnished or made available by GE Aviation to BHGE, other than the Engineering Tools (as defined in the STDA).

Examples of Technology Deliverables in a sentence

• The Transmeta Technology, Transmeta Technology Deliverables, Technology Transfer Training, Technical Support Services and Maintenance Services are provided “AS IS”.

• Notwithstanding the foregoing, in no event shall FUJITSU be required to provide any assistance for any intellectual property right infringement claim or action by third parties arising from the combination of the FUJITSU Technology, Deliverables and/or FUJITSU IPR provided and/or licensed to SMIC hereunder with other technology, designs, instructions, specification or any other information not provided by FUJITSU where such alleged infringement would not have occurred but for such combination.

• This Agreement, including the license in Section 2.1, does not grant Tellabs any rights with respect to any Third Party Technology, including Third Party Technology provided by Occam to Tellabs, whether as part of the Technology Deliverables or not.

• To the extent necessary, the Technology Deliverables delivered by Oasys to Larscom may be modified by Oasys, at Oasys' sole cost and expense, to remove or alter occurrences of Oasys' trademarks, trade names, product names and product numbers which are unique to and serve to identify Oasys' products; provided however, that no such removal or alteration shall affect the ability of Larscom to use the Technology Deliverables as contemplated in the License and otherwise under this Agreement.

• Immediately following execution of this Agreement Oasys will deliver to Larscom a significant portion of the Technology Deliverables and Oasys will complete its delivery of the Technology Deliverables by not later than fifteen (15) business days after the Effective Date.

More Definitions of Technology Deliverables

Technology Deliverables means the deliverables described on Schedule 1.20.

Technology Deliverables means all Technology owned by Seller or any of its Subsidiaries as of the Closing that is the embodiment of, embodies, or discloses any Intellectual Property Rights that are Business Intellectual Property Rights or Licensed Motor IP and that are capable of being copied (for example, to the extent applicable, documents and software); it being understood that (i) the delivery of the Technology Deliverables with respect to Licensed Motor IP shall not constitute the transfer or assignment to Buyer or any of its Affiliates of any Intellectual Property Rights embodied therein or disclosed thereby and (ii) the Technology Deliverables will be comprised of documentation (including blueprints and manufacturing drawings), files, software, drawings, designs, images, and data, but are not required to include (a) any hardware, tooling, molds or equipment or (b) other embodiments of Intellectual Property Rights that are not capable of being copied.

Technology Deliverables. As defined in Section 3.2.

Technology Deliverables shall include all documents, software, information and materials which permit Larscom to exercise fully the rights granted under this Agreement, including, without limitation, the Technical Information, source code and object code for the Software developed and owned by Oasys together with associated documentation and the Customer Documentation. A list of the Technology Deliverables is attached to this Agreement as Exhibit B.

Technology Deliverables means those items that the Consultant will be required to deliver pursuant to the Development Agreement.

Technology Deliverables means the Manufacturing Specifications, Technical Specifications, and the Technology owned by Occam listed in Exhibit A, including updated versions of these items.

Technology Deliverables means, for each BLC Product, as applicable, the Manufacturing Specifications, the Technical Specifications, and the Technology listed in Exhibit B, including updated versions of these items.
