Term XXXXX Administrator means Candeal Benchmark Administration Services Inc., TSX Inc., or any successor administrator. “Term XXXXX Rate Loan” means a Loan that bears interest based on Adjusted Term XXXXX. “Term XXXXX Reference Rate” means the forward-looking term rate based on XXXXX. “Term Loan” means the Initial Term Loans, Incremental Term Loans, Extended Term Loans and Refinancing Term Loans, to the extent not otherwise indicated and as the context may require. “Term Loan Commitment” means, as to each Lender, its obligation to make a Term Loan to a Borrower hereunder (including any Initial Term Loan Commitment), expressed as an amount representing the maximum principal amount of the Term Loans to be made by such Lender under this Agreement, as such commitment may be (a) reduced from time to time pursuant to Section 2.08, (b) reduced or increased from time to time pursuant to (i) assignments by or to such Lender pursuant to an Assignment and Assumption, (ii) a Refinancing Amendment or (iii) an Extension and (c) increased from time to time pursuant to an Incremental Amendment. “Term Loan Exposure” means, with respect to any Lender, as of any date of determination, the outstanding principal amount of the Term Loans of such Lender; provided, at any time prior to the making of the Term Loans, the Term Loan Exposure of any Lender shall be equal to such Lender’s Term Loan

"Term XXXXX Determination Date" means, with respect to each Calculation Period, the day that is two (2) Business Days prior to the first day of such Calculation Period. "Third Amendment Effective Date Letter" means the Third Amendment Effective Date Letter, dated as of June 4, 2024, by and between the Administrative Agent and the Company. "Trade Date" has the meaning set forth in Section 1.03. "Transaction Schedule" has the meaning set forth in the introductory section of this Agreement. "UCC" means the Uniform Commercial Code in effect in the State of New York.
