Transaction Certificate means a certificate substantially in the form of Exhibit H hereto, executed and certified as accurate by a Responsible Officer of the Lead Borrower.
Transaction Certificate means a certificate substantially in the form of Exhibit A. The undersigned is a duly elected and qualified Authorized Officer of MFX Solutions, Inc., a corporation organized and incorporated under the laws of Delaware (“MFX”), as of the date hereof. (“FDC”), Beneficiary, and the Sponsor; and (c) the Allocation Agreement (the “Agreement”) dated as of December 21, 2021 among MFX, Sponsor, FDC and Sponsor. Capitalized terms used herein and not otherwise defined shall have the meanings set forth in the Agreement.
