Transferring Employee Records definition

Transferring Employee Records means all personnel files related to the Business Employees who will become employees of the Buyer to the extent such files pertain to (i) skill and development training and resumes, (ii) seniority histories, (iii) salary and benefit information, (iv) Occupational, Safety and Health Administration medical reports, (v) active medical restriction forms and (vi) job performance reviews and applications.
Transferring Employee Records shall have the meaning set forth in Section 2.02(a)(viii).
Transferring Employee Records means all records related to personnel of Seller, Genco, GPUN or GPUS who will become employees of Buyer only to the extent such records pertain to: (i) skill and development training and biographies, (ii) seniority histories, (iii) salary and benefit information, including benefit census and valuation data, (iv) Occupational, Safety and Health Administration reports, and (v) active medical restriction forms.

Examples of Transferring Employee Records in a sentence

  • Notwithstanding anything in this Section 7.02 to the contrary, (I) Seller will not be required to provide such information or access to any employee records other than Transferring Employee Records, (II) Buyer shall not have the right to perform or conduct any environmental sampling or testing at, in, on, around or underneath the Auctioned Assets and (III) Seller shall not be required to provide such access or information with respect to any Retained Asset or Retained Liabilities.

  • Notwithstanding anything in this Section 7.2 to the contrary, (i) the Seller and the Company shall furnish or provide such access to Transferring Employee Records and personnel and medical records to the extent permitted by Law or as required by legal process or subpoena and (ii) the Buyer shall not have the right to perform or conduct any environmental sampling or testing at, in, on or underneath the Related Assets or at any property or facility or real estate owned by the Company.

  • Notwithstanding anything in this Section 6.2 to the contrary, Seller will only furnish or provide such access to Transferring Employee Records and will not furnish or provide access to other employee personnel records or medical information unless required by law or specifically authorized by the affected employee, nor shall Buyer have the right to administer to any of Seller's employees any skills, aptitudes, psychological profile, or other employment related test.

  • Notwithstanding anything in this Section 6.2 to the contrary, Sellers will only furnish or provide such access to Transferring Employee Records and will not furnish or provide access to other employee personnel records or medical information unless required by law or specifically authorized by the affected employee and Buyer shall not have the right to perform or conduct any environmental sampling or testing at, in, on, or underneath the Purchased Assets.

  • Notwithstanding anything in this Section 7.2 to the contrary, (i) the Buyer shall not have access to Transferring Employee Records and personnel and medical records, which in the Seller's good faith judgment is sensitive or the disclosure of which could subject the Seller to risk of liability and (ii) the Buyer shall not have the right to perform or conduct any environmental sampling or testing at, in, on, or underneath any of the Purchased Assets.

  • Notwithstanding anything in this Section 7.2 to the contrary, Seller will only furnish or provide such access to Transferring Employee Records and personnel and medical records as is allowed by applicable Laws, legal process or subpoena.

  • Notwithstanding anything in this Section 7.2 to the contrary, (i) the Sellers will only furnish or provide such access to Transferring Employee Records and personnel and medical records as is required by law, legal process or subpoena and (ii) the Buyer shall not have the right to perform or conduct any environmental sampling or testing at, in, on, or underneath the Purchased Assets.

Transferring Employee Records means all personnel files related to the Seller’s or the Company’s personnel, as applicable, who will become employees of the Buyer.

Related to Transferring Employee Records

  • Transferring Employees means employees of the Incumbent Contractor who are wholly or mainly assigned to work in the provision of the Service and who are subject of a Relevant Transfer to the Contractor by virtue of the application of the TUPE Regulations.

  • Transferring Employee means an employee at the airport who timely transfers to the regional authority by the transfer date.

  • Retained Group means the Seller, its subsidiaries and subsidiary undertakings from time to time, any holding company of the Seller and all other subsidiaries or subsidiary undertakings of any such holding company (except members of the Group);

  • SpinCo Employee means any individual who, as of the Effective Time, is employed by or will be employed by Spinco or any member of the Spinco Group, including active employees and employees on vacation and approved leave of absence (including maternity, paternity, family, sick leave, qualified military service under the Uniformed Services Employment and Reemployment Rights Act of 1994, short- or long-term disability leave, leave under the Family Medical Leave Act and other approved leave).

  • U.S. Employee means a person who is an employee of the Company (or of any Subsidiary) for purposes of section 422 of the Code.

  • Transferred Entities means the entities set forth on Schedule 1.9.

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Company Service means the Company's email, Internet, security management services provided to End Users for the purposes of conducting Company's internal business.

  • Company Personnel means any current or former officer, employee, director or consultant of the Company or any of its Subsidiaries.

  • Excluded Employees shall have the meaning set forth in Section 5.1.2.

  • Designated Employees means a person occupying any of the following position in the Company:

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Transfer Time has the meaning set forth in Section 4.3(a).

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Seller 401(k) Plan has the meaning set forth in Section 5.5(e).

  • Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.
