Variable Expenses definition

Variable Expenses shall have the meaning set forth in Section 5.1.11(d) hereof.
Variable Expenses means, with respect to any month, all costs and expenses incurred in connection with the possession and use of the Aircraft during such month other than Fixed Costs, and shall include, without limitation, those costs and expenses of the type which are reflected as "Variable Expenses" on Exhibit A.
Variable Expenses means Operating Expenses covered by an Approved Operating Plan and Budget that reasonably fluctuate as a direct result of business volumes, including food and beverage expenses, other merchandise expenses, operating supply expenses, and energy costs.

Examples of Variable Expenses in a sentence

  • Notwithstanding anything in any of the Loan Documents to the contrary, expenditures shall be deemed in compliance with and made pursuant to the Approved Annual Budget even though such expenditures exceed the amount budgeted therefore in the Approved Annual Budget if such expenditures are (i) Uncontrollable Expenses and (ii) Variable Expenses which exceed the amounts budgeted therefore by not more than the Gross Revenues Percentage Increase.

  • Lessor will provide such additional insurance coverage as Lessee shall request or require, provided, however, that the cost of such additional insurance shall be borne by Lessee as set forth in paragraph (4) of the definition of FAA Maximum (and the corresponding inclusion of such amount in the definition of Variable Expenses) in Section 1.4 of this Agreement.

  • All Disputes relating to any of the (i) Operating Competitive Set; (ii) Comparable Manager Properties; (iii) Variable Expenses or those matters expressly reserved under Section 8.3(b) for resolution hereunder; and/or (iv) the Credit Policy shall be resolved according to this Section 17.16(c).

Variable Expenses means the sum of the actual out-of-pocket payments and expenses of Licensee or its wholly-owned subsidiaries for the following: (i) utilities associated with the Station’s transmitting facilities (pursuant to the Transmission Facilities and Studio Construction and Lease Agreement (the “Lease”)) together with all other expenses payable by Licensee under the Lease, (ii) salaries for the Station’s General Manager and Chief Operator and hourly rates for accounting and human resource services at reasonable and customary rates for such services, (iii) expenses related to maintenance and filings with respect to the FCC licenses in respect of the Station and other expenses of compliance with FCC regulations in connection with the operation of the Station, including reasonable and customary attorneys’ fees of Licensee incurred in connection therewith, (iv) property taxes on any real property, personal property and leased property on which the Station is located or used exclusively for the operation of the Station, (v) in the event that Licensee shall have elected to borrow the purchase price with respect to its acquisition of the Station under the Purchase Agreement pursuant to a credit agreement or other borrowing arrangement, the terms and conditions of which have been consented to in writing by Broker and, if applicable, the performance of Licensee has been guaranteed by Broker or an affiliate thereof (an “Acquisition Financing Arrangement”), the payments due by Licensee pursuant to such Acquisition Financing Arrangement, other than those payments due pursuant to such Acquisition Financing Agreement to the extent arising out of the failure of Licensee to make a timely payment thereunder for which Licensee had received timely payment hereunder or otherwise to the extent arising out of actions or omissions of Licensee in breach of such Acquisition Financing Arrangement, (vi) reasonable travel expenses incurred by Licensee in connection with its performance under the TBA, the Lease or the Option Agreement between the parties with respect to the assets of the Station (the “Option Agreement”), (vii) premiums and other out-of-pockets costs and expenses relating to any insurance that Licensee is required to maintain pursuant to the terms of the Option Agreement, (viii) costs and expenses incurred in connection with the performance by Licensee of the Atlantic Contracts (as such term is defined in the Purchase Agreement) and (ix) Other Expenses.
Variable Expenses shall have the meaning set forth in Section 1.3.1 of Exhibit B.
