Waived Compound definition

Waived Compound means any compound which was once a Research Compound and which is directed against a particular Waived Target. For purposes of clarity, a Research Compound that is directed against a particular Waived Target and is also directed against any Program Target shall remain a Research Compound until such time as that Program Target becomes a Waived Target.
Waived Compound means on a Target-by-Target basis, (a) any Collaboration Compound that does not satisfy Minimum Requirement, (b) any Collaboration Compound for which DS does not exercise the DS Option prior to the end of the DS Option Period for the DS Target of such Collaboration Compound, and (c) any Primary Development Compound, Backup Compound or Licensed Product the Development or Commercialization of which is abandoned or discontinued by DS.

Examples of Waived Compound in a sentence

  • ARCHEMIX shall have a period of up to [***] months commencing on the date of receipt of the Designation Notice or a Program Target otherwise becomes a Waived Target to notify MERCK that it intends to continue to Develop or Commercialize a Waived Compound.

  • MERCK shall have no right or responsibility with respect to the preparation, filing, prosecution and/or maintenance of any claims within the Licensed Patent Rights that relate to any Failed Compound, Waived Compound or Terminated Compound or their manufacture, formulation, delivery, or use.

  • If DS fails to exercise the DS Option applicable to a Primary Development Compound (and related Backup Compounds) on or before the expiration of the applicable DS Option Period, then such Primary Development Compound (and related Backup Compounds) shall be deemed to be a Waived Compound for purposes of this Agreement.

Waived Compound has the meaning set forth in the Collaborative Research Agreement.
Waived Compound means any Collaboration Compound or Product (a) with respect to which Beryllium has exercised any Opt-Out Right pursuant to Section 4.10, (b) that is otherwise deemed to be a Deemed Waived Compound or Waived Compound pursuant to Sections 4.8.3 and/or 11.3.3(d)(i) or (c) following the termination of this Agreement with respect to any such Collaboration Compound or Product pursuant to Section 11.2.1.

  • Licensed Compound means [***].

  • Licensed Compounds means: (a) Research Program Active Compounds; (b) Novartis Active Compounds; (c) salts, hydrates, solvates, esters, metabolites, intermediates, stereoisomers and polymorphs of Research Program Active Compounds or Novartis Active Compounds; and (d) prodrugs of Research Program Active Compounds or Novartis Active Compounds (any of the foregoing, a “Licensed Compound”).

  • Back-Up Compound means, with reference to any particular Development Candidate or Drug Product Candidate, a Compound which (a) has the same principal mode of action (i.e., Potentiator or Corrector) as that Development Candidate or Drug Product Candidate; and (b) was among the group of Compounds, identified by VERTEX as potential additional lead molecules having the same principal mode of action, from which the Development Candidate was selected.

  • Product Candidate means any pharmaceutical product developed, manufactured and/or tested by or on behalf of the Company that has not received a Regulatory Authorization for commercial distribution other than in connection with pre-clinical or clinical trials.

  • Collaboration Compound means any of the following: (a) FG-4592, (b) any HIF Compound (other than FG-4592) that is added to this Agreement pursuant to Section 3.6, and (c) any salts, esters, complexes, chelates, crystalline and amorphous morphic forms, pegylated forms, enantiomers (excluding regioisomers), prodrugs, solvates, metabolites and catabolites of any of the foregoing ((a) or (b)).

  • Lead Compound means any compound of lead other than galena which, when treated in the manner described below, yields to an aqueous solution of hydrochloric acid a quantity soluble lead compound exceeding, when calculated as lead monoxide, five percent of the dry weight of the portion taken analysis.

  • Development Candidate means a Compound that meets the Development Candidate Criteria for the initiation of a Development Program for the treatment of CF, and which is the subject of a notice from Vertex to CFFT that Vertex intends to commence formal pre-clinical development of the Compound in the Field pursuant to the provisions of Section 3.1 hereof.

  • Collaboration Target means the Initial Collaboration Targets set forth on Exhibit F and any Additional Target or Substitute Target that is selected in accordance with Section 3.3 of this Agreement.

  • Compound means the taking of two or more ingredients and fabricating them into a single

  • Replacement Candidate means any Candidate Introduced by the Agency to the Client to fill the Engagement following the Introduction of another Candidate whose Engagement either did not commence or was terminated during the first 12 weeks of the Engagement;

  • Compounds means any or all of the following chemicals, as the context requires:

  • Licensed Product means a product or part of a product in the Licensed Field of Use: (A) the making, using, importing or selling of which, absent this license, infringes, induces infringement, or contributes to infringement of a Licensed Patent; or (B) which is made with, uses or incorporates any Technology.

  • Hemp product means the same as that term is defined in § 3.2-4112.

  • Covered Product The consumer product that You purchased concurrently with and is covered by this Agreement.

  • Combination Product means any combination of the Product with one (1) or more other active ingredients, products or services that is not the Product, where such products are sold either as a fixed dose/unit or as separate doses/units in a single package for a single price.

  • Therapeutic Product means a health product categorised as a therapeutic product in the First Schedule to the Act;

  • Edible cannabis product means cannabis product that is intended to be used, in whole or in part, for human consumption, including, but not limited to, chewing gum, but excluding products set forth in Division 15 (commencing with Section 32501) of the Food and Agricultural Code. An edible cannabis product is not considered food, as defined by Section 109935 of the Health and Safety Code, or a drug, as defined by Section 109925 of the Health and Safety Code.
