Undertakings. Whilst any Conversion Right remains exercisable, the Issuer will, save with the approval of a resolution of the Syndicate of Noteholders: unless, in any such case, the same constitutes a Distribution or otherwise gives rise (or would, but for the provisions of Condition 6(c) relating to roundings or the carry forward of adjustments, give rise) to an adjustment to the Conversion Price;
Undertakings. 8.1 Organization. Organization confirms that neither Consultant nor Organization are prohibited from entering into this Agreement by internal rules of Organization or its governing bodies or work contract.
