Common use of Cancelation, rescheduling, suspension, delay in execution of Inclusion Orders due to the Customer Clause in Contracts

Cancelation, rescheduling, suspension, delay in execution of Inclusion Orders due to the Customer. 6.1. Request to cancel, reschedule, suspend or delay. The Customer can cancel, reschedule or suspend any Inclusion Order by email, without expense, subject to such request taking place at least fifteen (15) days prior to the date of the start of the performance of the Service. As applicable, indemnities will apply under the following conditions: Type of request Numberofworking daysprecedingthe dateofthestartof performanceofthe Service Lump-sum indemity1 due if request received after the expiration of the maximum period Cancellatio n between 6 and 15 40% 5 or less 70% Suspension between 6 and 15 10% 5 or less 20% Rescheduli ng between 6 and 15 10% 5 or less 20% Delay2 N/A 20% 1calculated on the basis of the amount of the canceled, suspended, reschedule or delayed Inclusion Order; 2 due to the Customer, notably if such delay is due to an Advertisement’s failure to comply with technical prerequisites or if the Customer has delivered creative elements or any other element necessary for the performance of the service that are incomplete or defective, or after the maximum period of time indicated in the Inclusion Order. The Live Shopping Service cannot be cancelled. Any amount that has already been paid will be kept by Cdiscount Advertising and will be deducted, as the case may be, from the lump- sum indemnity remaining due. 6.2. In the case of a suspension, rescheduling or delay leading the Customer to pay a lump-sum indemnity as provided for above, the Customer will remain liable for the payment of the amount of the Inclusion Order in respect of its subsequent execution. 6.3. In the exceptional case the Customer requests the cancellation or suspension of the performance of the Service while the Inclusion Order is being executed, Cdiscount Advertising will invoice the entire amount of the Inclusion Order and 20% of the amount of the cancelled or suspended Inclusion Order as a lump-sum indemnity. 6.4. Any request to cancel, suspend or reschedule an Inclusion order for which an exclusivity provision was negotiated will result in an increase in the lump-sum indemnity in the amount of 20% of the amount of the applicable indemnity.
