Delivery dates. 4.1. The terms of delivery stated on the Order Acknowledgement are indicative, without prejudice to the Vendor’s undertaking to observe the same as far as pos- sible. 4.2. In any event, given the indicative nature of the terms of delivery, the Vendor shall in no circumstances be held responsible for any direct or indirect damage to the Buyer on account of late delivery. 4.3. The Vendor is entitled to postpone the delivery deadline or suspend the delive- ry of the contractual material, at its unchallengeable discretion: a) should the Buyer fail to observe the conditions of payment established or be late in fulfiling its contractual obligations (such as, by way of a non-limiting example, the sending of advances, granting of guarantees, issue and presentation of credit instruments and other financial fulfilments) including those relating to previous re- lations with the Vendor; b) force majeure and like instances, such as, by way of a non-limiting example strikes, lock-outs or abstention from labour, epidemic, war, requisition, fire, flood, processing incidents and stoppages and/or delays in transportation, blackout or inadequacy of power supplies and any other event that cannot be attributed to the Vendor or its suppliers; c) failure on the part of the Buyer to provide the Vendor, in good time, with any information it has undertaken to provide and necessary for the supply and/or ma- terials to be delivered. d) when amendments are made to the Order, even with the Vendor’s acceptance; e) in the event of difficulties in procurement of raw materials. In cases in which suspension of supplies or extension in delivery deadlines are due to causes that can be referred in any way to the Buyer (such as, by way of a non limiting example, those cases set forth in the previous paragraph under points a, c and d), the Vendor shall be entitled to claim compensation from the Buyer for Venditore avrà diritto di conseguire dal Compratore medesimo il risarcimento dei danni patiti. 4.4. Delivery dates. 5.1. The terms of delivery stated in the Vendor's Offer are indicative, without prejudice to the Vendor's commitment, where possible, to observe them. 5.2. In any event, given the indicative nature of the terms of delivery, the Vendor shall in no circumstances be held responsible for any direct or indirect damage to the Buyer on account of late delivery. 5.3. The Vendor is entitled to postpone and/or to suspend the delivery deadline of the goods included in the contract at its unquestionable discretion: a) when the Buyer fails to comply with the agreed payment terms or when the fulfilment of its contractual obligations is delayed (only as an example, advanced payments, guarantees or other credit instruments and other financial fulfilments) including those ones related to previous business relationships with the Vendor; b) in case of force majeure and other events, such as, only as an example, general or partial strikes, abstentions from 5.4. Delivery dates. Delivery dates shall always be indicative and never essential; therefore, any delays will not cause liability on Abba srl's part or the termination of the contract. Without prejudice to the above, the terms will apply from the date when Abba srl receives written approval of the working dimensions, designs and colours (date of approval of the final sample in case of special colours). Any delays in the delivery due to force majeure, strikes, equipment failure or difficulties in sourcing materials, do not entitle the purchaser to any compensation or cancellation of the order. No fines are accepted due to delayed delivery.

In cases of suspension of supplies or postponement of delivery dates required directly or indirectly by the Buyer (only as an example, those cases described at sub-points a, c, d above), the Vendor shall be entitled to claim compensation from the Buyer for any damage caused. conseguire dal Compratore medesimo il risarcimento dei danni patiti. 5.4.   • Destinatari dei dati a. I dati personali possono essere comunicati - per le finalità di cui al punto 3 - ad altri soggetti della filiera assicurativa, quali coassicuratori, riassicuratori, società di archiviazione, società di gestione dei sinistri, fiduciari peritali e legali, enti di controllo (IVASS, CONSAP, UIF, Banca d’Italia), Autorità Giudiziaria ed altre banche dati nei confronti delle quali la comunicazione dei dati personali è obbligatoria per legge o per la finalità di conclusione / esecuzione del contratto assicurativo. b. Inoltre, i dati personali possono essere comunicati, esclusivamente per le finalità di cui al punto 3, a società del gruppo di appartenenza (società controllanti, controllate e collegate,) ai sensi delle vigenti disposizioni di legge. c. I dati personali potranno essere comunicati, ove necessario, a soggetti facenti parte della c.d. “catena assicurativa” e che operano in qualità di titolari autonomi del trattamento (in particolare canali di acquisizione di contratti di assicurazione e loro collaboratori, assicuratori, coassicuratori, fondi pensione, attuari, avvocati, medici, periti ed altri consulenti, strutture sanitarie, agenzie investigative, servi di spedizione etc.,), banche e organismi associativi e consortili del settore assicurativo (ANIA e conseguentemente le imprese di assicurazioni ad essa associate), IVASS, UIF ed altre Autorità Pubbliche nonché persone, società, associazioni che svolgono servizi di assistenza e/o consulenza per Net (es. in materia contabile, amministrativa, finanziaria), società o soggetti che svolgono attività di controllo, revisione e certificazione delle attività poste in essere dalla Società. L’elenco dei soggetti a cui i dati potranno essere comunicati o che agiscono in qualità di Responsabili del trattamento è disponibile, su richiesta, all’indirizzo ▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇@▇▇▇▇▇▇▇▇▇▇▇▇.▇▇ ovvero presso la sede della Società. I dati non sono generalmente trasferiti fuori dall’unione europea; tuttavia, ove per specifiche esigenze connesse alla sede dei servizi resi dai fornitori, fosse necessario trasferire i dati verso Paese situati fuori dallo Spazio economico Europeo, anche in Paesi che non offrono protezione adeguata, Net si impegna a garantire livelli di tutela e salvaguardia anche di carattere contrattuale adeguati secondo le norme applicabili, ivi inclusa la stipulazione di clausole contrattuali tipo (si potrà richiedere al DPO/Responsabile per la protezione dei dati personali – all’indirizzo ▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇@▇▇▇▇▇▇▇▇▇▇▇▇.▇▇ ovvero con lettera raccomandata indirizzata alla Società – copia degli impegni assunti dai terzi nel contesto di tali clausole nonché l’elenco dei Paesi situati fuori dallo Spazio Economico Europeo dove sono trasferiti i dati).

  • Obbligazioni specifiche del Fornitore Il Fornitore ha l’obbligo di tenere costantemente aggiornata, per tutta la durata del presente Accordo Quadro la documentazione amministrativa richiesta e presentata a ▇▇.▇▇.▇▇. S.p.A. per la stipula della presente Accordo Quadro. In particolare, pena l’applicazione delle penali di cui al paragrafo 13 del Capitolato Tecnico, ciascun Fornitore ha l’obbligo di: a) comunicare a ▇▇.▇▇.▇▇. S.p.A. ogni modificazione e/o integrazione relativa al possesso dei requisiti di ordine generale di cui all’art. 80, del D.Lgs. n. 50/2016, entro il termine perentorio di 10 (dieci) giorni lavorativi decorrenti dall’evento modificativo/integrativo; b) inviare a ▇▇.▇▇.▇▇. S.p.A. con periodicità semestrale la dichiarazione sostitutiva, ai sensi dell’art. 46 del D.P.R. n. 445/2000 del certificato di iscrizione al Registro delle Imprese. Ciascun singolo Fornitore ha l’obbligo di comunicare tempestivamente a ▇▇.▇▇.▇▇. S.p.A. le eventuali modifiche che possano intervenire per tutta la durata del presente Accordo Quadro, in ordine alle modalità di esecuzione contrattuale. In caso di inadempimento degli obblighi di cui sopra, ▇▇.▇▇.▇▇. S.p.A. provvederà all’applicazione della dovuta penale, conformemente a quanto previsto dal Capitolato Tecnico.
