Early Redemption Amount means an amount equal to the Nominal Amount of the Security plus a pro rata amount equal to any accrued Interest Amount since the last Interest Payment Date as determined by the Calculation Agent who shall act at all times in good faith and in a commercially reasonable manner immediately prior to such Event of Default.”; and
