Acceptance of Professional Services. 9.1 The relevant Statement of Work shall specify the Deliverables that are to be subject to Acceptance Testing and provide a framework for the nature of the testing that will be required.
Acceptance of Professional Services. Acceptance of Professional Services will be deemed to occur unless Customer notifies Rhapsody in writing of any material nonconformities of the Services with the applicable Statement of Work within ten business days after Rhapsody has provided the Services to Customer (“Acceptance Period”). In that event, Customer will provide sufficient documentation to enable Rhapsody to understand the reasons Customer believes the Professional Services are nonconforming and other pertinent details. Rhapsody will use commercially reasonable efforts to correct the nonconformities and make such correction available to Customer for acceptance testing as provided above. Acceptance will also be deemed to occur if the Professional Services or Deliverables are put to productive use on behalf of or by Customer.

In that event, Customer will provide sufficient documentation to enable Lyniate to understand the reasons Customer believes the Professional Services are nonconforming and other pertinent details. Lyniate will use commercially reasonable efforts to correct the nonconformities and make such correction available to Customer for acceptance testing as provided above. Acceptance will also be deemed to occur if the Professional Services or Deliverables are put to productive use on behalf of or by Customer.
Acceptance of Professional Services. Customer shall provide Vendor with written notice of acceptance or rejection of the Professional Services within 3 business days of its receipt of notice from Vendor that the Professional Services have been completed. The Professional Services will be deemed to have been accepted by Customer if notice of acceptance or rejection is not delivered within the required period of time.
Acceptance of Professional Services. Upon Converged’s completion and delivery to Customer of each deliverable(s) specified under a SOW for professional services, Customer shall have ten (10) business days to review and accept as complete or reject as incomplete each such deliverable in accordance with the acceptance criteria set forth in the applicable SOW (“Acceptance Criteria”). In the event Customer elects to reject any such deliverable, Customer shall notify Converged in writing, not more than ten (10) business days after receipt of the deliverable, itemizing each instance in which that deliverable fails to meet the applicable Acceptance Criteria (“Failure”) in sufficient detail to permit Converged to replicate, diagnose and correct the Failure. Converged shall use commercially reasonable efforts to promptly diagnose and correct all identified Failures and to provide Customer with a modified deliverable for review and acceptance. Converged efforts to correct Failures caused solely by Converged shall be at no additional cost to Customer. Customer shall have ten (10) business days to verify that all identified Failures have been corrected and to accept or reject the modified deliverable. The failure of Customer to notify Converged of a Failure within the ten (10) business day acceptance period shall be deemed automatic and final acceptance of the deliverable. In the event that Converged is unable to duplicate the claimed Failure or the parties are unable to agree on whether there has in fact been a Failure, the parties shall negotiate in good faith to determine an appropriate solution and whether the claimed Failure is material. In the event the parties are unable to agree, Xxxxxxxxx’s liability shall not exceed the purchase price of the services in question. The Parties may agree to alternate acceptance period(s) in an applicable SOW and such alternate acceptance period(s) shall then prevail. Services provided by Converged on a time and materials basis shall be considered accepted for payment purposes at the time of Converged performance of such Services.
Acceptance of Professional Services. 4.1 Unless otherwise agreed, Professional Services are deemed to be accepted upon completion.
Acceptance of Professional Services. Customer may engage Exterro to provide Professional Services to configure the Software. Customer is entitled to perform Acceptance Testing of the configured Software including any and all deliverables described in a Statement of Work (“SOW”) or the Order Form. The term “Acceptance Testing” means testing performed by or on behalf of Customer to determine whether the relevant configured Software complies with any specifications and requirements set forth in the Professional Services SOW/Order Form. If Customer reasonably determines that such configured Software complies with the foregoing or otherwise decides in its reasonable discretion to accept the configured Software, Customer will notify Exterro in writing (email is acceptable) of its acceptance of the Professional Services. Customer will notify Exterro on or before any acceptance date set forth in the applicable SOW/Order Form (“Configured Software Acceptance Date”). If Exterro has not received written notice within ten (10) business days of the Configured Software Acceptance Date, the Professional Services will be deemed to have been accepted.
Acceptance of Professional Services. Customer shall provide VelocityEHS with written notice within 30 calendar days from the completion of the Professional Services describing Customer’s specific basis for any dissatisfaction with the Professional Services. After receipt of such notice, VelocityEHS will meet with Customer to discuss the problem and, if applicable, will arrange for the performance of such Professional Services to be raised to the warranted level. In the event that Customer does not provide VelocityEHS with such written notice within 30 calendar days from the completion of the Professional Services, the Professional Services will be deemed accepted by Customer.
Acceptance of Professional Services. Unless otherwise expressly stated in the Order, all Professional Services will be deemed accepted upon performance and all Deliverables will be deemed accepted upon delivery.
