Description of Professional Services. Rhapsody makes Professional Services available on demand or as specified in the applicable Schedule or Statement of Work, as follows: i. Professional Services Performed pursuant to a Schedule or Statement of Work.
Description of Professional Services. 2.1 Catapult shall provide nursing services to the Board for all eligible children enrolled in nonpublic schools in the District. Such services shall be rendered pursuant to and in accordance with Chapter 226 of the Laws of 1991, and all rules and regulations promulgated thereunder by the State of New Jersey (“State”) Board of Education and the Commissioner of Education. 2.2 The specifications for the nursing services to be provided by Catapult pursuant to this agreement are set forth in Exhibit A attached hereto and made a part hereof (the “Services”). 2.3 Catapult shall, upon request, provide the Board with such reports, regarding the Services covered by this Agreement, which may reasonably be required to assure itself that Catapult is delivering Services in accordance with the law and the terms of this Agreement. 2.4 Staff who provide Services in the Program (hereinafter referred to as “Program Staff”) shall at all times remain Catapult employees or independent contractors, subject to Catapult’s ultimate control and authority, including on issues of personnel conduct, discipline and termination. 2.5 The District understands and agrees that Xxxxxxxx has a substantial interest and role in overseeing and maintaining the quality of the Program. In that regard, the District will consult with Catapult and reasonably consider Catapult’s input and recommendations on the selection of students for participation in the Program. The District will adhere to all District responsibilities set forth herein in order to assist Catapult in ensuring the quality of Services delivered hereunder, which is material to the satisfactory performance of the Agreement. 2.6 During the Term of this Agreement and for a period of twelve (12) months thereafter (the “Non-Solicitation Period”), the District agrees not to, either directly or indirectly through a third party, hire, attempt to hire, nor solicit for employment any Catapult employee or independent contractor, unless such solicitation is agreed upon in advance and in writing by Catapult. In the event the District solicits a Catapult employee or independent contractor for hire pursuant to written permission from Catapult during the Term of this Agreement and for twelve (12) months, thereafter, and the Catapult employee or independent contractor accepts a position with the District, the District agrees to pay Catapult (a) for a Catapult employee, a commission of thirty percent (30%) of the employee’s base salary at the time the e...

Description of Professional Services. Section 1. 201 General The Consultant shall provide the following services: A. Provide all Basic Services required for this Project including, but not limited to Design Development, Contract Documents and Construction Administration Services, as applicable. B. The Consultant is to have on its staff and is to retain during the performance of its services all appropriate professional personnel necessary to completely and accurately perform the work and services required. Where the design of architectural, structural, mechanical, electrical, civil, or other engineering features of the work are included in the Project, such must be performed by an Architect or Engineer registered to practice in the State of New York. The Consultant shall provide a list of its employees assigned to the project which provides the employee's name and title prior to the start of work. The Consultant shall notify the City/RPL prior to changing project personnel. No changes in project managers will be made without approval of the City/RPL. C. The Consultant is responsible for the professional quality, technical accuracy, timely completion and appropriate coordination of all designs, drawings, specifications, testing, reports and other services furnished under this Agreement. The Consultant bears all responsibility for any errors, omissions or other deficiencies in the Consultant's designs, drawings, specifications, reports and other services and shall correct or revise any such errors, omissions or other deficiencies without additional compensation. D. The Consultant agrees that, where the Project will involve the design or substantial renovation, relocation, or reconstruction of, or will involve the new construction of, a building, facility, street, sidewalk, park, mall or other public area, then it will incorporate into its design, study and other work those facilities or improvements reasonably required to give handicapped persons access to and enjoyment of those facilities. Such facilities or improvements shall conform to ANSI/ICC A117.1 – 2009 "American Standard Specifications for Making Buildings and Facilities Accessible to, and Usable by the Physically Handicapped". Such facilities and improvements for the handicapped shall include, but shall not be limited to, access ramps to buildings, sufficiently large elevators, support rails, rest room improvements, sidewalk curb cuts at corners, and additional lighting that are reasonably a part of and necessitated by the Project. Description of Professional Services. 1.1 All Services rendered by ARCHITECT and its consultants pursuant to this Agreement will be performed in accordance with the standard of professional skill and care required for architects and other design professionals retained to design, document, coordinate and assist with from commencement to finish of construction, the planning, design, documentation, permitting and field observation of a new public safety complex in Florida as well as other architectural services for projects of a similar nature. ARCHITECT will perform all Services consistent with the interests of the TOWN and in accordance with the requirements of the applicable edition of the Florida Building Code, with Broward County Amendments (“Florida Building Code”), the National Electric Code, Life Safety Code, Florida Administrative Code, the ADA, the Florida Accessibility Code for Building Construction, design requirements to meet U.S. Green Building Council’s Leadership in Energy and Environmental Design (LEED) certification standards and all other applicable codes, laws, regulations, ordinances, and all other applicable standards that govern the design and construction of the Project as described in this Agreement as well as those requirements imposed by governmental authorities having jurisdiction over this Project. ARCHITECT agrees to timely perform its Services so as not to delay the TOWN and the Work for the Project, time being of the essence. Description of Professional Services. 2.1 Upon the terms and conditions set forth herein, Catapult shall provide instructional services utilizing Title I funds (hereinafter referred to as the “Program”) at eight schools (each, a “School” and collectively, the “Schools”). Services shall be provided during the Term of this Agreement, by Catapult staff utilizing Catapult’s proprietary programs, systems, teaching techniques, diagnostic tests, diagnostic and academic courses and materials. The Professional Services Deliverables to be provided by Catapult is in Attachment A.
