Statements of Work Generally. Except with respect to On-Demand Professional Services described in Section 6.a.ii (“On-Demand Hourly Professional Services Option”), each time Customer requests that Rhapsody provide Customer with Professional Services, Rhapsody will provide Customer with a proposed Statement of Work which describes the Professional Services to be supplied by Rhapsody. Each Statement of Work must be signed by both parties and will also include the obligations of each party, fees for the Professional Services, the start and end dates of the Statement of Work, and other applicable terms. If a Statement of Work contains an estimated schedule, each party agrees to make reasonable efforts to carry out its responsibilities according to that schedule. Rhapsody provides Professional Services at its facilities, unless otherwise agreed to in the applicable Statement of Work.

Statements of Work Generally. Except with respect to On-Demand Professional Services described in Section 5.a.ii (“On-Demand Professional Services Option”), each time Customer requests that Company provide Customer with Professional Services, Company will provide Customer with a proposed Statement of Work which describes the Professional Services to be supplied by Company. Each Statement of Work must be signed by both parties and will also include the obligations of each party, fees for the Professional Services, and other applicable terms. If there is any conflict or inconsistency between the terms and conditions of a Statement of Work and the terms and conditions of this Agreement (excluding for this purpose the Statement of Work), the terms and conditions of the Statement of Work shall control. Service Recipient may request services through a letter, email, or other written or electronic medium. The request for services will outline the nature and scope of the services requested. Within thirty (30) days after receipt of the request for services, Service Provider shall provide a high-level estimate of the activities to be performed along with an estimate of the number of hours required to perform each of the activities. Preparation of the high level estimate shall be charged at the hourly rates then in effect between Service Provider and Service Recipient, or if no rate is specified, at Service Provider's then-current rate for such activity. Service Recipient shall have thirty (30) days to notify Service Provider if Service Recipient desires Service Provider to prepare a Statement of Work.   • Statements of Work From time to time, the Parties may execute statements of work that describe the specific services to be performed by Modernizing Medicine, including any work product to be delivered by Modernizing Medicine (as executed by the Parties, a “Statement of Work”). Cancellation of any Service Order or a particular Service thereunder must be made by way of a cancellation request in writing or through a service ticket in accordance with the applicable Product Terms.
