Acceptance Test Plan. The Acceptance Test Plan for the development of the ITM Software will be conducted by Bearhill with the assistance of GTS as follows:
Acceptance Test Plan. After Supplier has delivered the Product and the -------------------- other materials to Intel, Intel shall test the Product for acceptance in accordance with the criteria set forth in the applicable Phase ("Acceptance Test Plan"). If the Product does not pass the Acceptance Test Plan, Intel will advise Supplier promptly and provide Supplier with a description of any defects and nonconformities. Supplier must correct any defect or nonconformities within ten (10) days and resubmit the Product and such other material as Intel may reasonably request. Intel will then retest the Product for acceptance using the Acceptance Test Plan. INTEL/NUMERICAL CONFIDENTIAL If the Product still does not meet the Acceptance Test Plan, Supplier will attempt to correct any remaining defects or nonconformities, but after the second failure of the Product to pass the Acceptance Test Plan Supplier will be in default and at any time Intel may terminate the Project and exercise any of its rights under the Agreement. Acceptance Test Plan. The Contractor shall develop and provide an Acceptance Test Plan that includes the process, method, verification, and validation of all the functional requirements for the CTS. Final Acceptance shall occur and be evidenced by a notice signed by Customer when all Punchlist items, over which Motorola has control, have been resolved. With respect to Expansion Product purchased with installation and integration services, Conditional and Final Acceptance shall occur in the same manner as provided in the "Conditional Acceptance and Final Acceptance" definition above with respect to the System. For Expansion Product, Equipment or Software purchased without installation and integration services, the Conditional Acceptance and Final Acceptance provisions in this Section will not apply. CONFIDENTIAL INFORMATION Confidential Information means that information which is marked appropriately as confidential or, if orally disclosed, is identified as confidential at the time of disclosure and confirmed in writing within thirty (30) days of such disclosure, which may be exchanged pursuant to this Agreement and shall include, without implied limitation, formulas, processes, designs, photographs, plans, samples, performance reports, Subscriber lists, pricing information, studies, findings, inventions, ideas, drawings, schematics, sketches, specifications, parts lists, technical data, ...
