Access Assistance. (a) Buyer agrees that it will cause the Company and each Subsidiary, on and after the Closing Date, to afford promptly to the Stockholders, and each of them, and their agents reasonable access to their properties, books, records, employees and auditors to the extent necessary to permit the Stockholders to determine any matter relating to their rights and obligations hereunder or to any period ending on or before the Closing Date; provided that any such access by the Stockholders shall not unreasonably interfere with the conduct of the business of Buyer or the Company. (b) Buyer agrees that it will cause the management of the Company and the Subsidiaries to assist the Stockholders and the Seller's Representative in the preparation of the Closing Balance Sheet to be delivered by the Stockholders to Buyer in accordance with Section 2.3 hereof and the actions described in Article 8 hereof.

Access Assistance. (a) Buyer agrees that it will cause the Company and each Subsidiary, on and after the Closing Date, to afford promptly to Sellers, and each of them, and their agents reasonable access to their properties, books, records, employees and auditors to the extent necessary to permit Sellers to determine any matter relating to their rights and obligations hereunder or to any period ending on or before the Closing Date; provided that any such access by Sellers shall not unreasonably interfere with the conduct of the business of Buyer. Sellers may during such period, at their expense, make such copies thereof as they may reasonably request. Sellers agree that all documents that are retained by Sellers after the Closing Date and that are related to the Company or the Subsidiaries shall be open for inspection by representatives of Buyer at any time during regular business hours until such time as documents are destroyed or possession thereof is given up to the other party as provided for in Section 6.2(b), and that Buyer may during such period, at its expense, make such copies thereof as it may reasonably request. (b) Without limiting the generality of Section 6.2(a), for the period described in Section 8.5 with respect to items related to the matters covered by Article 8 and on the sixth anniversary of the Closing Date with respect to all other items, neither Buyer nor Sellers shall destroy or give up possession of any item referred to in Section 6.2(a) without first offering to the other party, or in the case of items belonging to the Company or the Subsidiaries, to Sellers, the opportunity, at such other party's expense (but without any other payment) to obtain the same. Thereafter, each party shall be free to dispose of such properties, books and records as they see fit. (c) Buyer agrees that it will cause the management of the Company and the Subsidiaries to assist Sellers and Sellers' representatives in the preparation of the Closing Date Balance Sheet to be delivered by Sellers to Buyer in accordance with Section 2.4(a) hereof and the actions described in Article 8 hereof.

  • Turnover Assistance Grantee will provide any assistance and actions reasonably necessary to enable System Agency or its designee to effectively close out the Grant Agreement and transfer the performance and obligations of the Grant Agreement to another Grantee or to System Agency if necessary. Grantee agrees that this obligation survives the termination, regardless of whether for cause or convenience, or the expiration of the Grant Agreement and remains in effect until completed to the satisfaction of System Agency.
