Acknowledgment of Confidential Information. Each party recognizes and acknowledges (a) that Confidential Information of the other party may be commercially valuable proprietary products of such party, the design and development of which may have involved the expenditure of substantial amounts of money and the use of skilled development experts over a long period of time and which afford such party a commercial advantage over its competitors; (b) that the loss of this competitive advantage due to unauthorized disclosure or use of Confidential Information of such party may, cause great injury and harm to such party; (c) that the restrictions imposed upon the parties under this Agreement are necessary to protect the secrecy of Confidential Information and to prevent the occurrence of such injury and harm.
Acknowledgment of Confidential Information. Executive acknowledges that during employment with Company, Executive may acquire, be given access to, develop or assist in developing confidential information regarding the products, property, business and affairs of Company and its subsidiaries, including information concerning Company’s and its subsidiaries agents, producers, policyholders and customers. This confidential information may consist of concepts, ideas, trade secrets, marketing and sales processes or techniques, pricing arrangements, operating procedures, technical data, policyholder names, addresses, coverage or expiration data, customer names, customer contact persons and telephone numbers, quotations or other confidential information not generally known or easily ascertainable by the general public concerning Company’s and its subsidiaries business. This information is referred to in this Agreement simply as “Confidential Information”.
Acknowledgment of Confidential Information. Instructor acknowledges and agrees to comply on a continuing basis with the obligations and responsibilities of Instructor set forth in this Section 10, including with respect to the protection of the Confidential Information of the HHC for the Term of this Agreement and for a period of five years after the expiration or termination of this Agreement; provided, however, any Trade Secrets will continue to receive protection under this Section 10 for so long as it remains a Trade Secret under the Act.
Acknowledgment of Confidential Information. Prospective Instructor acknowledges and agrees to comply on a continuing basis with the obligations and responsibilities of Prospective Instructor set forth in this Section 8, including with respect to the protection of the Confidential Information of the HHC.
Acknowledgment of Confidential Information. (Volunteer) acknowledges (Volunteer) will have access to Confidential Information, made accessible to (Volunteer) only in strict confidence by (Employer). (Volunteer) acknowledges unauthorized disclosure will damage (Employer’s) business and that Confidential Information could immediately be used by a competitor of (Employer). The use and value of this Confidential Information depends on its continuing secrecy and (Employer) has taken appropriate steps to maintain this secrecy. (Volunteer) acknowledges that the restrictions contained in this section are reasonable and necessary for the protection of (Employer’s) business.
Acknowledgment of Confidential Information. Employee acknowledges that, in connection with the performance of his duties during the term of this Agreement, Employer will make available to Employee or Employee will have access to certain Confidential Information (as defined below) of the BCC Entities or Employer. Employee acknowledges and agrees that any and all Confidential Information learned or obtained by Employee during the course of his employment hereunder, whether developed by Employee alone or in conjunction with others or otherwise, shall be and is the property of the BCC Entities.
Acknowledgment of Confidential Information. PrimeStar Partners and SS/L (the ------------------------------------------ "Parties") acknowledge and agree that CONFIDENTIAL INFORMATION is claimed to be proprietary to and a valuable trade secret of each of the Parties and that any unauthorized use thereof may cause irreparable harm and loss to such Party. "CONFIDENTIAL INFORMATION" means all information, documentation, terms, conditions and compensation arrangements disclosed in writing, or made available by one Party to the other, which is clearly marked as being confidential or proprietary, including, but not limited to, business, present and future plans, present and future products and policies of each Party.
Acknowledgment of Confidential Information. Licensee acknowledges a continuing responsibility with respect to the protection of the Confidential Information of the Licensor. Any Non-Disclosure Agreement previously signed by the parties shall be incorporated herein by reference.

Executive hereby acknowledges that he possesses information and knowledge of the type described in Section 5.1 concerning the Company which is not a matter of public knowledge, the release or dissemination of which would cause irreparable harm to the Company, and that the performance of his obligations under this Section are required for the reasonable protection of this Company.
Acknowledgment of Confidential Information. Licensee-Trainee acknowledges a continuing responsibility with respect to the protection of the Confidential Information of the Licensor-Xxxxxxx known as the Licensed Proprietary Information.
