Additional Procurement Procedures. Without limitation on the other provisions of this Schedule 2, of the Consultant Guidelines, and of the Anti-Corruption Action Plan, the following provisions shall apply in respect of consultants’ services to be procured under the Project. The Recipient shall make publicly available on the website xxx.xxxxxx.xxxxxxxxx.xx.xx, or any successor website thereto and promptly upon request by a member of the public (subject to payment of a reasonable fee to cover the cost of printing and delivery) the Procurement Plan, including all updates thereto, and each opportunity for procurement thereunder, including all requests for expressions of interest. The Recipient shall continue to make available each such request for expression of interest until one (1) year after completion of the contract entered into for the services in question. The Recipient shall make publicly available on the website xxx.xxxxxx.xxxxxxxxx.xx.xx, or any successor website thereto, and promptly upon request by a member of the public (subject to payment of a reasonable fee to cover the cost of printing and delivery), upon completion of each consultant selection process, the names of the consultants on the long list, shortlist and the awardee (as applicable), the contract amount, and the purpose of such contract. The Recipient shall establish, maintain and publish on the website xxx.xxxxxx.xxxxxxxxx.xx.xx, or any successor website thereto a complaints handling system satisfactory to the Association, the results of the performance of consultants and reports on any corrupt or fraudulent practices. The procurement documentation shall require each prospective consultant to submit as part of the expression of interest/proposal a disclosure of any members of their board of directors/commissionaires and their immediate family members that have any business relations with: (a) members of the respective procurement committee; or (b) Echelon I-IV of the Ministry of National Education. The Recipient shall ensure that the award of each consultant contract shall be within the validity period of the expression of interest/proposal for such contract.

The Borrower shall ensure that for each procurement exercise, (a) the bid evaluation of the relevant Procurement Committee shall be submitted to the Project Director and the Minister of Finance; and (b) the report of the Independent Bid Evaluation Consultant in reviewing the bid evaluation shall also be submitted to the Project Director and the Minister of Finance. The Borrower shall make public, on the schedule set out in the Project Operations Manual, those procurement documents set out in the Project Operations Manual as requiring publication. The Borrower shall ensure that the PIU shall make available to any member of the public: all bidding documents and requests for proposals subject to payment of a reasonable fee to cover the cost of printing and delivery. In the case of requests for proposals, the relevant documents will only be made available after notification of award to the successful firm; at no cost, any short lists of consultants and, in cases of pre-qualification, lists of pre-qualified contractors and suppliers; at no cost, a list of all contracts awarded to date in the project in respect of the project, including the name of the contractor/consultant, the contract amount, the number of bidders/makers of proposals, the procurement method followed and the purpose of the contract; and subject to payment of a reasonable fee to cover the cost of printing and delivery, summaries of the evaluation of all bids and proposals for such proposed contracts. Information in these summaries will be limited to a list of bidders/consultants, all bid prices and financial proposals as read out at public openings for bids and financial proposals, bids and proposals declared non- responsive (together with reasons for such declarations), the name of winning bidder/consultant and the contract price.

In the event that the Company is obligated to issue other securities of the Company, pay cash and/or distribute other property pursuant to Section 11.1.3, the Company will make all arrangements necessary so that such other securities, cash and/or other property are available for distribution by the Rights Agent, if and when appropriate.

If such an amendment is proposed, the General Partner shall seek the written approval of the requisite percentage of Outstanding Units or call a meeting of the Unitholders to consider and vote on such proposed amendment. The General Partner shall notify all Record Holders upon final adoption of any amendments. The General Partner shall be deemed to have notified all Record Holders as required by this Section 13.2 if it has posted or made accessible such amendment through the Partnership’s or the Commission’s website.

  • Subcontract Procedures Without relieving it of, or in any way limiting, its obligations to NYSERDA under this Agreement, the Contractor may enter into Subcontracts for the performance of Work or for the purchase of materials or equipment. Prior to beginning any Work, Contractor shall notify the NYSERDA Project Manager of all subcontractors performing work under the Agreement, as well as all changes in subcontractors throughout the term of the Agreement. Except for a subcontractor or supplier specified in a team arrangement with the Contractor in the Contractor’s original proposal, and except for any subcontract or order for equipment, supplies or materials from a single subcontractor or supplier totaling less than $50,000, the Contractor shall select all subcontractors or suppliers through a process of competitive bidding or multi-source price review. A team arrangement is one where a subcontractor or supplier specified in the Contractor’s proposal is performing a substantial portion of the Work and is making a substantial contribution to the management and/or design of the Project. In the event that a competitive bidding or multi-source price review is not feasible, the Contractor shall document an explanation for, and justification of, a sole source selection. The Contractor shall document the process by which a subcontractor or supplier is selected by making a record summarizing the nature and scope of the work, equipment, supplies or materials sought, the name of each person or organization submitting, or requested to submit, a bid or proposal, the price or fee bid, and the basis for selection of the subcontractor or supplier. An explanation for, and justification of, a sole source selection must identify why the work, equipment, supplies or materials involved are obtainable from or require a subcontractor with unique or exceptionally scarce qualifications or experience, specialized equipment, or facilities not readily available from other sources, or patents, copyrights, or proprietary data. All Subcontracts shall contain provisions comparable to those set forth in this Agreement applicable to a subcontractor or supplier, and those set forth in Exhibit C to the extent required by law, and all other provisions now or hereafter required by law to be contained therein. Each Subcontract shall make express reference to this Agreement, and shall state that in the event of any conflict or inconsistency between any Subcontract and this Agreement, the terms and conditions of this Agreement shall control as between Subcontractor and Contractor. For each Subcontract valued at $100,000 or more, the Contractor shall obtain and maintain, pursuant to Section 4.05, a completed Vendor Assurance of No Conflict of Interest or Detrimental Effect form from such Subcontractor prior to the execution of the Subcontract. Such form shall be made available to the Contractor by NYSERDA. Each such Subcontract shall contain a provision whereby the Subcontractor warrants and guarantees that there is and shall be no actual or potential conflict of interest that could prevent the Subcontractor’s satisfactory or ethical performance of duties required to be performed pursuant to the terms of the Subcontract and that the Subcontractor shall have a duty to notify NYSERDA immediately of any actual or potential conflicts of interest. If this Agreement includes a provision requiring Contractor to make Payments to NYSERDA for the Sale or Licensing of a Product, each Subcontract shall include the provisions of Section 8.02, suitably modified to identify the parties. The Contractor shall submit to NYSERDA’s Contract Administrator for review and written approval any subcontract(s) specified in the Statement of Work as requiring NYSERDA approval, including any replacements thereof.
