AGENCY REGULATIONS. 9.01 Except as otherwise provided in this Agreement, the appointment of the Bank as Transfer Agent and Dividend Disbursing Agent shall require that its sub-agent, if any, shall be subject to the terms of the Mutual Fund Transfer Agency Regulations of DST (other than paragraphs 7, 12, 13 and 14), a copy of which is attached hereto as Exhibit C. With respect to paragraphs 29 and 33 of said Regulations, it is understood and agreed that funds for the payment of dividends and distributions may be deposited by the Trust directly in a bank account in the name of the Trust.

AGENCY REGULATIONS. If any Agency or Department regulation conflicts with this Agreement and/or supplemental Agreement, the terms of the Agreement shall govern; however, either party may request to negotiate over new policies and regulations. Xxxxxxxxxx will begin as soon as reasonably possible and as agreed by the parties but not later than the tenth workday following the Union’s receipt of the Employer’s proposal. Negotiations will last no later than the fifth workday thereafter or as agreed by the parties. During this time, the parties will explore all aspects of the proposed changes and will work diligently for a consensus. If no agreement is reached, the Employer may then implement all or part of its proposed changes, subject to subsequent modification via the Alternative Dispute Resolution process contained in Article 36, or any alternate arrangement mutually agreed upon. Any timeframe hereby established may be changed by mutual consent. Either party may invoke Article 36, “Alternative Dispute Resolution”, without waiving or limiting the exercise of statutory or contractual rights of itself or the other party.

  • Export Regulations Licensee agrees and accepts that Software may be subject to import and export laws of any country, including those of the European Union and United States (specifically the Export Administration Regulations (EAR)). Licensee acknowledges that it is not a citizen, national, or resident of, and is not under control of the governments of Cuba, Iran, North Korea, Sudan or Syria and is not otherwise a restricted end-user as defined by applicable export control laws. Further, Licensee acknowledges that it will not download or otherwise export or re-export Software or any related technical data directly or indirectly to the above-mentioned countries or to citizens, nationals, or residents of those countries, or to any other restricted end user or for any restricted end-use.

  • Tax Shelter Regulations The Borrower does not intend to treat the Loans and/or Letters of Credit and related transactions as being a “reportable transaction” (within the meaning of Treasury Regulation Section 1.6011-4). In the event the Borrower determines to take any action inconsistent with such intention, it will promptly notify the Administrative Agent thereof. If the Borrower so notifies the Administrative Agent, the Borrower acknowledges that one or more of the Lenders may treat its Loans and/or its interest in Swing Line Loans and/or Letters of Credit as part of a transaction that is subject to Treasury Regulation Section 301.6112-1, and such Lender or Lenders, as applicable, will maintain the lists and other records required by such Treasury Regulation.

  • Other Regulations Borrower is not subject to regulation under the Investment Company Act of 1940, the Public Utility Holding Company Act of 1935, the Federal Power Act, the Interstate Commerce Act, any state public utilities code or to any other Governmental Rule limiting its ability to incur indebtedness.

  • RULES & REGULATIONS The Exhibitor must comply with the requirements of all Authorities and where applicable with all rules and regulations issued by the owner of the Venue in force at the time of the Exhibition. The Exhibitor undertakes to comply with the obligations and duties contained or referred to in the Contract including (without limitation) those contained or to be contained in the Exhibitors’ Manual. Exemptions from any of these obligations and duties may be granted at the Organisers’ discretion. No exemption given by the Organisers will be effective unless in writing. The Contract comprises these Terms and Conditions, the Exhibition Space Contract and the Exhibitors’ Manual) except as varied in writing signed by the parties.

  • Terrorism Sanctions Regulations The Company will not and will not permit any Subsidiary to (a) become a Person described or designated in the Specially Designated Nationals and Blocked Persons List of the Office of Foreign Assets Control or in Section 1 of the Anti-Terrorism Order or (b) engage in any dealings or transactions with any such Person.

  • Compliance with Treasury Regulations The foregoing provisions and other provisions contained herein relating to the maintenance of Book Capital Accounts and Tax Capital Accounts are intended to comply with Treasury Regulations Section 1.704-1(b), and shall be interpreted and applied in a manner consistent with such Treasury Regulations. The Trustees shall make any appropriate modifications in the event unanticipated events might otherwise cause these procedures not to comply with Treasury Regulations Section 1.704-1(b), including the requirements described in Treasury Regulations Section 1.704- 1(b)(2)(ii)(b)(1) and Treasury Regulations Section 1.704-1(b)(2)(iv). Such modifications are hereby incorporated into these procedures by this reference as though fully set forth herein.
