Animal Research. If animals are used in research hereunder, Company will comply with the Animal Welfare Act or any other applicable local, state, national and international laws and regulations relating to the care and use of laboratory animals. Merck encourages Company to use the highest standards, such as those set forth in the Guide for the Care and Use of Laboratory Animals (NRC, 1996), for the humane handling, care and treatment of such research animals. Company hereby certifies that it has and shall maintain current and valid accreditation from AAALAC during the Term. Any animals which are used in the course of the Research Program, or products derived from those animals, such as eggs or milk, will not be used for food purposes, nor will these animals be used for commercial breeding purposes.
Animal Research. Arvinas will comply with the Animal Welfare Act or any other applicable Laws relating to the care and use of laboratory animals. Pfizer encourages Arvinas to use the highest standards, such as those set forth in the Guide for the Care and Use of Laboratory Animals (NRC, 1996), for the humane handling, care and treatment of such research animals. Arvinas hereby certifies that prior to conducting any animal research at any Arvinas facility in connection with the Research Program, it shall obtain accreditation from AAALAC and shall maintain such accreditation for so long as it conducts such research. Any animals which are used by or on behalf of either Party in the course of the Research Program, or products derived from those animals, such as eggs or milk, will not be used for food purposes, nor will these animals be used for commercial breeding purposes.

Without limiting the provisions of Section 2.13.1, if animals are used in research hereunder, Ablynx will comply with the Animal Welfare Act and any other applicable local, state, national and international laws and regulations relating to the care and use of laboratory animals. Merck encourages Ablynx to use the highest standards, such as those set forth in the Guide for the Care and Use of Laboratory Animals (NRC, 1996), for the humane handling, care and treatment of such research animals (and corresponding national standards applicable in the country where the relevant activities are performed). Any animals which are used in the course of the Research Programs, or products derived from those animals, such as eggs or milk, will not be used for food purposes, nor will these animals be used for commercial breeding purposes (other than Ablynx using such animals for its own internal breeding program for Ablynx’s research purposes; provided that (i) Ablynx complies with all Applicable Laws in connection therewith and (ii) Ablynx shall indemnify and hold Merck and its Affiliates harmless from and against any and all liabilities (including all costs and reasonable attorneys’ fees associated with defending against such claims) that may arise by reason thereof).

Animal Research. The Recipient cannot draw down funds from the payment system and no obligations may be made against Federal funds for research involving animals by any site engaged in such research for any period in which the site is not in compliance with the Public Health Service (PHS) Policy on Humane Care and Use of Laboratory Animals (xxxxx://xxxx.xxx.xxx/policies-laws/phs- policy.htm). Failure to comply will result in the immediate suspension and/or termination of this Agreement.
Animal Research. 2.12.1 If animals are used in research hereunder, each Party will comply with the Animal Welfare Act or any other applicable local, state, national and international laws and regulations relating to the care and use of laboratory animals. Each Party’s care and use of animals will at all times meet or exceed all applicable requirements or standards for the humane handling, care, and treatment of research animals established by the AAALAC, the Guide for the Care and Use of Laboratory Animals (NRC, 2011) and the Guide for the Care and Use of Agricultural Animals in Research and Teaching published by the Federation of Animal Science Societies, 2010, even if such standards exceed those required under applicable laws. Proposed animal work must be reviewed by a site Institutional Animal Care and Use Committee (IACUC) or Animal Ethical Review Committee prior to initiation of any animal work under the Research Program and Work Plan. Company hereby certifies that it has and shall maintain current and valid accreditation from AAALAC during the Research Program Term. Any animals which are used in the course of the Research Program, or products derived from those animals, such as eggs or milk, will not be used for food purposes, nor will these animals be used for commercial breeding purposes;
2.12.2 Each Party will comply with all applicable laws relating to animals in connection with the performance of the Research Program, including but not limited to the Animal Welfare Act (United States), Directive 2010/63/EU (European Union), Canadian Council on Animal Care (Canada), and any other applicable laws. Prior to the performance under the Research Program and Work Plan, each Party will obtain any and all licenses and permits required for the performance thereunder at such Party’s facilities and will comply with all such licenses and permits in connection with the performance thereof.
2.12.3 Each Party shall provide adequate veterinary care and health monitoring for the animals. Health and care records for all animals shall be maintained by each Party in accordance with any and all applicable laws and standards for the period required by applicable law. Each Party will make such health and care records available to the other Party in paper or electronic format upon request.
Animal Research. JHU has a current Animal Welfare Assurance on file with the Office of Laboratory Animal Welfare, and shall carry out the research in compliance with the Animal Welfare Act of 1966, if applicable, and the guidelines described in the NIH Guide for the Care and Use of Laboratory Animals, and the Public Health Service (“PHS”) policy on the Humane Care and Use of Laboratory Animals. JHU’s animal program is currently accredited by the Association for Assessment and Accreditation of Laboratory Animal Care. If the Study will involve the use of animals by JHU, JHU will provide Sponsor with confirmation of approval of the research by its Institutional Animal Care and Use Committee. Sponsor recognizes that the JHU will not conduct the Study in accordance with Food and Drug Administration Good Laboratory Practices (“GLP”), and Sponsor understands and agrees that any Study results may not be used by Sponsor for any filings that require a certification of GLP compliance.

Each Party encourages the other Party to use the highest standards, such as those set forth in the Guide for the Care and Use of Laboratory Animals (NRC, 1996), for the humane handling, care and treatment of such research animals. Any animals which are used in the course of the activities hereunder, or products derived from those animals, such as eggs or milk, will not be used for food purposes, nor will these animals be used for commercial breeding purposes.
