Annual Incentive Bonus Plan. Executive shall be eligible to receive an annual cash incentive bonus (the “Annual Bonus”) as may be determined by the Compensation Committee in its discretion pursuant to the terms of the Company’s annual incentive plan, as it may be amended from time to time. The Annual Bonus, if any, shall be paid to Executive when bonuses are paid by the Company to other senior executives of the Company.
Annual Incentive Bonus Plan. Subject to the provisions of Section 4 and Section 5, the Executive shall be entitled to participate annually during the Employment Term in PXRE Group Ltd.'s 2004 Incentive Bonus Compensation Plan (the "Bonus Plan"), or such substitute plan as shall be established from time to time by the Company (which substitute plan shall not be materially less favorable to the Executive than the Bonus Plan) providing for the payment of annual bonuses to key employees of the Company, subject to the terms and conditions of the Bonus Plan or such substitute plan, as the case may be. The Executive's target bonus in respect of the year 2004 shall be not less than 55% of his Base Salary and shall be payable within 60 days after the end of the fiscal year, whether or not the Executive is employed by the Company on the date of payment. The determination of annual bonus amounts payable to the Executive in years 2005 and subsequent shall be made in accordance with the terms of the Bonus Plan as that Plan may be amended from time to time.
Annual Incentive Bonus Plan. With respect to each year during Executive’s employment hereunder, Executive shall be eligible to receive an annual cash incentive bonus (the “Annual Bonus”) pursuant to the terms of the United Rentals, Inc. 2014 Annual Incentive Compensation Plan or any successor plan thereto, as it may be amended from time to time (the “Annual Incentive Plan”). Executive’s target incentive opportunity under the Annual Incentive Plan shall be 80% of Base Salary (as at the beginning of the applicable performance period). Executive has been determined by the Committee (as defined in the Annual Incentive Plan) to be a Participant (as defined in the Annual Incentive Plan) under the Annual Incentive Plan, and Executive’s Performance Goals (as defined in the Annual Incentive Plan) shall be determined by the Committee (as defined in the Annual Incentive Plan) in accordance with Section 5 of the Annual Incentive Plan (or the corresponding section of any successor plan). The Annual Bonus for a year (if any) shall be paid to Executive in accordance with Section 6 of the Annual Incentive Plan (or the corresponding section of any successor plan).
Annual Incentive Bonus Plan. The Executive shall be entitled to participate in any and all annual bonus plans (the “Annual Bonus Plans”) from time to time in effect for senior executives of the Company generally. The terms of each Annual Bonus Plan and Executive’s participation therein shall be determined by the compensation committee of the Board of Directors of the Company (the “Board”) (or, if there is no such committee, by the Board); provided, however, that the Executive shall be entitled to participate in such plans at a minimum participation rate of fifty percent (50%) of his Base Salary (pro-rated in 2010 based on employment commencement date provided that the Executive is employed by the Company on the payment date) paid for the applicable year, with any awards thereunder payable only to the extent earned pursuant to the terms of the applicable Annual Bonus Plan and subject to adjustment in accordance with the terms of the applicable Annual Bonus Plan. Notwithstanding the foregoing, no award under the Annual Bonus Plans may be granted if the compensation committee determines that in order for such award to qualify as performance-based for purposes of Section 162(m) of the Internal Revenue Code of 1986, as amended (the “Code”), the Plan must be submitted to and approved, or resubmitted to and approved, by the stockholders of the Company in accordance with the requirements of Section 162(m) of the Code, unless such grant is made contingent upon such approval. The compensation committee of the Board (or, if there is no such committee, the Board) may alter, modify, add to or delete any Annual Bonus Plan at any time as it, in its sole judgment determines to be appropriate.
Annual Incentive Bonus Plan. The Seller's Annual Incentive Bonus Plan for its 1999 fiscal year, insofar as it relates to employees of the Targets, has been prepared in accordance with the Seller's past practice and custom.
Annual Incentive Bonus Plan. Executive shall be entitled to receive, in respect of each calendar year during the Term, an annual cash incentive bonus (the “Annual Bonus”) pursuant to the terms of the Company’s Annual Incentive Compensation Plan (the “Annual Incentive Plan”). The parties hereto acknowledge that Executive’s performance goals and target bonus amounts for 2004 have previously been provided to Executive. The performance goals and target bonus amounts for each subsequent year during the Term shall be set forth in a performance plan to be determined by the Compensation Committee of the Board in good faith and delivered to Executive within 90 days of the beginning of each calendar year during the Term; provided that the target bonus amounts for any such subsequent year shall not be less than the target bonus amounts for the 2004 plan year. Except as otherwise provided in this Agreement, the Annual Bonus shall be paid to Executive at such times and in such amounts as provided in the Annual Incentive Plan.
Annual Incentive Bonus Plan. With respect to each year after 2007, Executive shall be eligible to receive an annual cash incentive bonus (the “Annual Bonus”) pursuant to the terms of the United Rentals, Inc. Annual Incentive Compensation Plan, as it may be amended from time to time (the “Annual Incentive Plan”). The Target Allocation (as defined in the Annual Incentive Plan) shall be 90% of Base Salary. The maximum incentive opportunity shall be 125% of Base Salary. Executive has been determined by the Committee (as defined in the Annual Incentive Plan) to be a Covered Employee (as defined in the Annual Incentive Plan) under the Annual Incentive Plan, and Executive’s Performance Goals (as defined in the Annual Incentive Plan) shall be determined by the Committee (as defined in the Annual Incentive Plan) in accordance with Section 2.11.1 and Article V of the Annual Incentive Plan. The Annual Bonus shall be paid to Executive at such times and in such amounts as provided in the Annual Incentive Plan.
Annual Incentive Bonus Plan. Subject to the provisions of Section 4.2, the Executive shall be entitled to participate annually during the Employment Term in the Company's Annual Incentive Bonus Plan (the "Bonus Plan"), or such substitute plan as shall be established from time to time! by Company, which provides for the payment of annual bonuses to key employees of the Company, subject to the terms and conditions of the Bonus Plan or such substitute plan, as the case may be. The. amount of the Executive's annual bonus payout under the Bonus Plan shall range from zero to 82.5% of the Executive's annual earned Base Salary, based upon the Company's return on equity percentages in any of its relevant fiscal years, as determined by the Company in its discretion. The Executive's bonus award under the Bonus Plan (if any) shall be comprised of a combination of 70% cash and 30% restricted stock, the restricted stock portion of which shall be subject to vesting following the expiration of three years.
Annual Incentive Bonus Plan. With respect to each year during Executive’s employment hereunder, Executive shall be eligible to receive an annual cash incentive bonus (the “Annual Bonus”) pursuant to the terms of the United Rentals, Inc. Annual Incentive Compensation Plan or any successor thereto, as it may be amended from time to time (the “Annual Incentive Plan”). Executive’s target incentive opportunity under such plan shall be 125% of Base Salary (as at the beginning of the applicable performance period) and Executive’s maximum incentive opportunity shall be 150% of Base Salary (as at the beginning of the applicable performance period). Executive has been determined by the Committee (as defined in the Annual Incentive Plan) to be a Covered Employee (as defined in the Annual Incentive Plan) under the Annual Incentive Plan, and Executive’s Performance Goals (as defined in the Annual Incentive Plan) shall be determined by the Committee (as defined in the Annual Incentive Plan) in accordance with Section 2.11.1 and Article V of the Annual Incentive Plan. The Annual Bonus for a year shall be paid to Executive in the year following such year at such times and in such amounts as provided in the Annual Incentive Plan, provided that in no event shall such payment be paid later than December 31 of the following year.
Annual Incentive Bonus Plan. Executive shall be entitled to an annual incentive bonus opportunity, the amount and terms of which shall be determined by the Compensation Committee of the Board (the “Committee”), except as set forth in the next sentence. The Executive’s annual target (subject to such performance and other criteria as may be established by the Committee) incentive bonus shall be 90.0% of Base Salary, subject to proration for partial periods, if any. Notwithstanding the foregoing and for purposes of the Executive’s bonus for the 2010 fiscal year only, the Executive’s target incentive bonus shall be $293,000. The performance and other criteria in respect of any such bonus shall be determined by the Committee in its sole discretion.
