Assistance of a Mediator. In the event direct negotiations reach and impasse, either party may request mediation assistance. Such mediation shall be restricted to the specific issues remaining unresolved. After impasse is reached, either party may request the American Arbitration Association to submit a panel of five (5) mediators. Within five (5) days after receipt of the panel the parties shall meet and in turn each strike a name from the list, with the party not calling for mediation striking the first name until one name remains. The remaining name shall be the designated mediator. All meeting arrangements, such as dates and agenda, shall be arranged by the mediator.

Assistance of a Mediator. Unless the parties mutually agree to an extension, if agreement is not reached on matters being negotiated at the end of the forty-five (45) day negotiating period set forth above, or not later than forty-five (45) days prior to the expiration date of this Agreement, either party may declare an impasse and request that an impartial mediator be appointed. The request for a mediator shall be submitted to the Federal Mediation and Conciliation Service whose rules shall govern the selection of such mediator. Except by mutual consent, the selection and mediation process shall not extend for more than twenty (20) working days from the date of declaration of impasse. The parties shall be permitted to postpone or extend the mediation process by not more than fifteen (15) working days and shall not extend beyond the expiration of this agreement except by written agreement of the parties prior to such expiration. All such extensions shall be for a specified period of time. Costs which may be incurred in securing and utilizing the service of a mediator shall be shared equally by the Board and the Association.

The mediator may be selected by agreement between the parties. If agreement on the mediator is not reached within five (5) days after the call of mediation, the Federal Mediation and Conciliation Service shall be requested to appoint a mediator, and the selection shall be in accordance with the rules of the Federal Mediation and Conciliation Service.
Assistance of a Mediator. If agreement is not reached within thirty (30) days of the first bargaining session, or at any other period of time established by mutual agreement between the parties, the parties will request a mediator be appointed by the Federal Mediation and Conciliation Service. Both parties hereby agree to meet at the direction of the mediator and to give, upon request, such information as the mediator deems necessary.

  • Routing for Operator Services and Directory Assistance Traffic For a Verizon Telecommunications Service dial tone line purchased by MLTC for resale pursuant to the Resale Attachment, upon request by MLTC, Verizon will establish an arrangement that will permit MLTC to route the MLTC Customer’s calls for operator and directory assistance services to a provider of operator and directory assistance services selected by MLTC. Verizon will provide this routing arrangement in accordance with, but only to the extent required by, Applicable Law. Verizon will provide this routing arrangement pursuant to an appropriate written request submitted by MLTC and a mutually agreed-upon schedule. This routing arrangement will be implemented at MLTC's expense, with charges determined on an individual case basis. In addition to charges for initially establishing the routing arrangement, MLTC will be responsible for ongoing monthly and/or usage charges for the routing arrangement. MLTC shall arrange, at its own expense, the trunking and other facilities required to transport traffic to MLTC’s selected provider of operator and directory assistance services.

  • Transition Assistance If this Contract is not renewed at the end of this term, if the Contract is otherwise terminated before project completion, or if particular work on a project is terminated for any reason, Contractor shall provide transition assistance for a reasonable, mutually agreed period of time after the expiration or termination of this Contract or particular work under this Contract. The purpose of this assistance is to allow for the expired or terminated portion of the services to continue without interruption or adverse effect, and to facilitate the orderly transfer of such services to State or its designees. The parties agree that such transition assistance is governed by the terms and conditions of this Contract, except for those terms or conditions that do not reasonably apply to such transition assistance. State shall pay Contractor for any resources utilized in performing such transition assistance at the most current Contract rates. If State terminates a project or this Contract for cause, then State may offset the cost of paying Contractor for the additional resources Contractor utilized in providing transition assistance with any damages State may have sustained as a result of Contractor’s breach.
